THEMAXIMUMMORTGAGECONTRACTOctober2012THEMAXIMUMMORTGAGECONTRACTContractNo.:Mortgagee:ChinaMerchantsBankCo.,Ltd.(hereinafterreferredtoasPartyA)PrimaryPersonnelinCharge:Mortgagor(legalpersonorotherorganization):(hereinafterreferredtoasPartyB)LegalRepresentative/PrimaryPersonnelinCharge:Mortgagor(naturalperson):IDNo.:Whereas1,ThecontractwhoseNo.issignedbyPartyB(alsoasCreditApplicant)andPartyAon(YMD)(hereafterreferredasCreditAwardingAgreement),PartyAiswillingtoprovidetoPartyBlineofcredit(hereafterreferredas“lineofcredit”)in(currency)intheamountof()(includingothercurrencyoftheequivalentvalue)duringtheperiodofcreditawarding(hereafterreferredas“periodofcreditawarding”)from(YMD)to(YMD),or2,ThecontractwhoseNo.issignedby(hereafterreferredasCreditApplicant)andPartyAon(YMD)(hereafterreferredasCreditAwardingAgreement),PartyAiswillingtoprovidetoCreditApplicantlineofcredit(hereafterreferredas“lineofcredit”)in(currency)intheamountof()(includingothercurrencyoftheequivalentvalue)duringtheperiodofcreditawarding(hereafterreferredas“periodofcreditawarding”)from(YMD)to(YMD).PartyBiswillingtomortgageit’spropertyownedordisposableaccordingtolaw,fortheguaranteeofrepaymentofdebttoPartyAinfullandontimeunderCreditAwardingAgreement.Throughverification,PartyAagreestoacceptPartyB’spropertyownedordisposableaccordingtolawasmortgage.Accordingtorelevantlawsandregulations,PartyAandPartyBenterintothiscontractwithconsensus,andbothpartiesarewillingtoabidebyfollowingclauses.Art.1MortgagedPropertyofPartyB(additionallistofmortgagedpropertymaybeattachedtothiscontract)1.1Name:1.2Quantityorarea:1.3Location:1.4Assessmentofpriceandmortgagerate:1.5Duration:1.6Certificationofownership:Art.2MortgageofMaximumAmount2.1Inperiodofcreditawarding,PartyAshallhavetherighttoprovidePartyB(orCreditApplicant)loanorothercreditawardingbyseveraltimes;PartyB(orCreditApplicant)shallhavetherighttoreusetherevolvinglineofcreditbycategoryofline,butnotapplicablefortheOne-timelineofcredit.Theamount,durationandconcreteusesofperloanorothercreditawardingcanbestipulatedbyspecificcontracts.Bothpartieshavenoobjectiontothatduedateofspecificbusinesslaterthantheduedateofcreditawardingperiod.2.2ThusPartyBshallbearthewarrantyliabilitywithinthestipulatedrangeofmortgagesecurityguaranteeinarticle3ofthiscontract;IfPartyAclaimsfortherecourseinaccordingwiththeprovisionsunderCreditAwardingAgreementorotherspecificcontractsbeforethematurityofcredit.PartyB(orCreditApplicant)shallbearthewarrantyliabilitywithmortgagepropertyaswell.2.3BankcreditbusinessprovidedbyPartyAtoPartyB(orCreditApplicant)duringtheperiodofcreditawarding,suchastradeacceptance,establishmentofaletterofcredit(Includingoverridingletterofcredit,thesamebelow),L/G,letterofshippingguaranteeetc..EventhoughexternaladvancesofPartyAmaynotoccurredbefore,butindeedhappenedafterthematurityofcredit.PartyBshallbearthewarrantyliabilitywithinthestipulatedrangeofmortgagesecurityguaranteeinArticle3ofthiscontract.2.4Fortherenewalagreementoralterationofvalidprovisionupontheduration,interestandamountofspecificbusinessduringtheperformanceofspecificbusinessunderCreditAwardingAgreement,ortheadjustmentofinterestrateonthebasisofCreditAwardingAgreementand/orspecificcontractsduringthemortgageguaranteeperiod.PartyBshallacceptallthiswithnonecessarytoobtaintheapprovalofPartyBornotifyPartB,andnoeffecttothemortgageguaranteeresponsibilityofPartyBstipulatedbythecontractaswell.2.5IfPartyA’sreceiveddocumentsinletterofcreditoperationundercreditawardingagreementbefoundtohavediscrepancythroughPartyA’saudit,butcreditapplicantacceptedwiththediscrepancy,PartyBshallalsoassumethemortgageguaranteeresponsibilitywithmortgagepropertyforprincipleandinterestofcreditinPartyA’sexternalacceptanceorpayment.PartyBshallnotproposethedefense,notbecauseofacceptingwiththediscrepancybutwithouttheapprovalofPartyBornotifyPartyB.2.6ThemodificationofL/C,L/G(orstandbyletterofcredit),acceptanceofusanceletterofcreditandextensionoftimeforpromisedpaymentatmaturityetc.PartyBshallacceptallthiswithnonecessarytoobtaintheapprovalofPartyBornotifyPartB,andnoeffecttothemortgageguaranteeresponsibilityofPartyBstipulatedbythecontractaswell.Art.3RangeofMortgageSecurityGuarantee3.1ThesecurityguaranteerangeofthiscontractissumofloanwithinthelineofcreditprovidedtoPartyBaccordingtostipulationofCreditAwardingAgreementandprincipalbalanceofothercredit(maximumlimitis(currency)intheamountof).Andinterest,defaultinterest,compoundinterest,penalty,feestorealizemortgagerightandotherinvolvedexpensesincludedaswell.Includingbutnotlimitedto:3.1.1Thereleasedbalanceofloanamountandcorrespondinginterest,defaultinterest,compoundinterest,penalty,feestorealizemortgagerightandotherinvolvedexpensesbyPartyAonthebasisofspecificcontractsunderCreditAwardingAgreement;3.1.2Thebalanceofadvanceprinciple,interest,defaultinterest,compoundinterest,penalty,feestorealizemortgagerightandotherinvolvedexpenses,whichhasbeenpayadvancedforPartyBinthecauseoftheperformanceofPartyA’sobligationofpaymentofCommercialDraft,L/C，L/GandletterofshippingguaranteeunderCreditA
