ORIGINAL购货合同PURCHASECONTRACT合同编号:ContractNo.:签订日期:Date：签订地点:Signedat:买方：TheBuyers:地址：Address:联系人：Contact:电话(Tel):传真(Fax):邮箱/E-mail：卖方：TheSellers:地址：Address:联系人：Contact:电话(Tel):传真(Fax):邮箱/E-mail：经买卖双方确认根据下列条款订立本合同：TheundersignedSellersandBuyershaveconfirmedthiscontractinaccordancewiththetermsandconditionsstipulatedbelow:1.商品名称及规格NameofCommodity&Specification2.数量Quantity3.单价UnitPriceORIGINAL4.总金额Amount5.包装Packing6.交货时间DeliveryTime7.交货地点DeliveryPlace8.运输方式MeansofTransport9.保险Insurance由_______方按发票金额的______%投保__________，加保______从______到______。Tobecoveredbyfor%oftheinvoicevaluecoveringadditionalfromto.10.付款条件TermsofPayment卖方收到50%定金后开始生产，发货前买方付清余款。Afterthereceiptof50%ofthetotalvaluepayment,thesellershallbegintheproductionandthebuyerpaythebalanceofthetotalvaluebeforedelivery.11.装运通知ShippingAdvice一旦装运完毕，卖方应立即电告买方合同号、品名、已装载数量、发票总金额、毛重、运输工具名称及启运日期等。Thesellersshallimmediately,uponthecompletionoftheloadingofthegoodsadvisethebuyersoftheContractNo.namesofcommodity,loadedquantity,invoicevalue,grossweight,namesofvesselandshipmentdatebyTLX/FAX.12.交货原则DeliveryPolicy卖方在规定时间内所送货物必须符合订单要求，送错或送少，应及时更换或补货，否则，所带来的损失由卖方全部承担。Thesellerswithintheprescribedtimedeliveryofgoodsmustcomplywiththeorderrequest,senttothewrongortheless,shouldbereplacedorreplenishment,otherwise,thelossesborneentirelybythesellers.13.推迟交货和罚款ORIGINALLateDeliveryandPenalty如卖方没有按照合同规定准时交货，买方同意卖方付给罚款。加入卖方交货期超过7天，买方有权取消合同。取消合同的情况，卖方仍不能延误付给买方上述罚款。ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenalty.IncasetheSellersfailtomakedeliverylaterthan7days,theBuyershavetherighttocanceltheContractandtheSellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.14.不可抗力ForceMajeure如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及时通知买方。Thesellersshallnotholdanyresponsibilityforpartialortotalnon-performanceofthiscontractduetoForceMajeure.Butthesellersshalladvisethebuyersontimeofsuchoccurrence.15.争议的处理DisputesSettlement所有与此合同有关的争议应通过友好协商解决，如果协商不能解决，根据有关仲裁法则进行仲裁。仲裁应在深圳进行且其结果对双方均有约束力，任何一方均不应向法院或其他政府部门申请以改变仲裁结果。仲裁费由负方负担。AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecaseshallbesubmittedforarbitration，inaccordancewithitsRulesofArbitration.ThearbitrationshalltakeplaceinShenzhenandthedecisionoftheArbitrationCommitteeshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisionofthedecision.Arbitrationfeeshallbebornebythelosingparty.OrtheArbitrationmaybesettledinthethirdcountrymutuallyagreeduponbybothparties.16.文字Versions本合同中、英文两种文字具有同等法律效力，在文字解释上，若有异议，以中文解释为准。ThiscontractismadeoutinbothChineseandEnglishofwhichversionisequallyeffective.Conflictsbetweenthesetwolanguagesarisingtherefrom,ifany,shallbesubjecttoChineseversion.17.附加条款AdditionalClauses本合同上述条款与本附加条款有抵触时，以本附加条款为准Conflictsbetweencontractclausehereaboveandthisadditionalclause,ifany,itissubjecttothisadditionalclause.18.本合同一式两份，双方各执一份，自双方代表签字/盖章之日起生效。ORIGINALThiscontractismadeincopies,eachpartyholdsone,becomeseffectivesincebeingsigned/sealedbybothparties.买方（盖章）：TheBuyer(seal):代表（签字）Representative(signature)：日期：卖方（盖章）：TheSeller(seal):代表（签字）Representative(signature)：日期：
