CARRENTLEASEAGREEMENTThisagreementismadebetween出租方名称,address出租方地址hereaftercalledas“theLessor”AndCCECCMieso-DawanleRailwayProject(几部)addressDireDawaMelka-Jebdu,hereaftercalledas“theLessee”Thecontractedpartiesagreedonthefollowingtermsandconditions:ArticleOneObjectiveoftheContract1.1ThisagreementissignedbythetwopartiesforgoverningtherentofseveralvehiclesbytheLessortotheLessee.Pursuanttothiscontract,theserviceproviderundertakesthetransportationofCCECCMDRPemployee.1.2.InformationregardingtheconcernedrentedcarsModelPlateNumberAgreementPeriodRentalpriceperday(BeforeVAT)00-00-2014to00-00-201400-00-2014to00-00-2014ArticleTwoAgreementExtension2.1Bymutualunderstandingofthetwocontractingparties,thisagreementcouldbeextendedforfurtherperiod.Ashortamendmentmentioningthenewagreementdurationandsignedbybothpartieswouldthenofficialtheextensionofthisagreement.ArticleThreeRentandPayment3.1BoththeLesseeandtheleaseragreedonadailyrentmentionedintheabovetableandthepaymentiswithoutfuel.ThepaymentwillbemadeonmonthlybasisaftertheleaserprovidedservicetotheLessee.ArticleFourParties’obligation4.1Lessor’sObligations4.1.1TheLessorwillputatthedisposaloftheLesseetheabovementionedvehicleingoodworkingorderandinsafeconditiontogetherwithasuitablyqualifieddriver,thedesignateddriversneedstobeondutyfrom7:00amto18:30pm(frommorning1:00to12:30localtime).IftheDesignateddriverisabsentfromhisdutytheLessorwillpay2daysrentpenalty.4.1.2TheresponsibilityofmeetingalllegalrequirementsofthevehiclesisthesoleresponsibilityoftheLessor.Thecostoflegalformalitieslike:Insurance,taxationandotherrelatedcostswillbemetbytheLessor.TheLessoragreedthatonlyauthorizedpersonnel,materials,goodsorotheritemsauthorizedbytheLesseewillbetransported.4.1.3TheLesseehastherighttodeductsameamountofmoneyfromthepaymentformisconductsuchastheftintheconstructionsitebytheoperatorassignedfromtheLessor.4.1.4IntheeventbreakingdowntheLessorshallmakeallnecessaryarrangementsforareplacementofanothervehicletobeusedbythelesseewhiletheleasedvehicleisbeingrepaired.TheLessorwillpayforallmaintenancecosts.4.1.5TheLessorwillbefullyresponsibleforaccommodationandfoodexpensesofthedriver.4.1.6Incaseofaccident,thecostofrepair,replacementofdamagedparts,andanyassociatedcostswillbebornebytheLessor.4.1.7TransportationofcontrabandoritemsnotapprovedbytheLesseeisstrictlyprohibited.4.2Lessee’sObligations4.2.1TheLesseebearsnoresponsibilityforanytheft,commandeeringorhijackingofthevehicle,oranypartofit,duringtheperiodofthiscontract.4.2.2TheLesseewillberesponsibleforprovidingfueltothevehicleduringthisagreementperiod.4.2.3Thelogistics/FleetpersonnelfromtheLesseewillmanagethedriverinhisday-to-dayactivities.Thisincludessettingworkingconditionsandhoursofdutyandarrangingallmovementsthatthevehiclemakes.ArticleFiveContractTermination5.1Thecontractcanbeterminatedbyeitherpartybeforetheexpiryoftheperiodstatedinarticletwobyproviding3daysnoticeinwritingorbyoral.ArticleSixDisputeResolutionmechanism6.1ThatifanydisputearisesinconnectionwithorunderthisContractbetweenthePartieshereto,themattershallberesolvedamicablybynegotiations.6.2Ifeitherpartybedissatisfiedwiththeamicablesettlement,thecourtA/AofJurisdictionthedisputearisesgivesafinaldecisionaccordingtothelowofEthiopia.ThisagreementispreparedandagreedinEnglishintwooriginalsoneeachtobekeptwiththeparties,eachofwhichshallhavethesamestatus.Partiesmayhaveittranslatedinanylanguageforeaseofreferenceorunderstanding.Howeverincaseofambiguityorinterpretation,theEnglishlanguagewillhavepreferenceovertheotherlanguages.Inwitnesswhereof,theundersigneddutyauthorizedthereto,havesignedthisagreementonbehalfofthepartieshereuntothedayandyearwrittenabove.TheLesseeTheLessor------------------------------------------------------------------------------------DateDate-----------------------------------------------------------------------------------
