Three-partyPropertySales&PurchaseAgreementAgreementNo.:S-34-7000002Three-partyPropertySales&PurchaseAgreementPartyA(Seller):PartyB(Buyer):I.Sales&purchaseofthepropertyPartyAagreestosellthepropertytoPartyB.ThepropertyisqualifiedforsaleinthemarketinaccordancewiththeregulationofBeijingMunicipalConstructionCommittee.Togetherwiththesalesoftheproperty,theallocatedlandareaforthepropertyandtheusabletermofthelandistransferredtoPartyBjointly.Thepropertyisdescribedas:1.Serialno.ofthetitlecertificateofthepropertyis:_____________________________;2.Constructionarea:_________m2;usablefloorspace:__________m2(optional);3.Togetherwiththetitleoftheproperty,facilitiesandinteriordecorationstobetransferredareasdescribedinAppendix(1);4.PartyAshallguaranteethatithascompletelydisclosedthefactsabouttheproperty,includingbutnotlimitedtothetitle,decorationandrelevantinformation;PartyBhasfullyunderstoodthefactsandagreestobuythepropertyvoluntarily.II.Salespriceandtermsofpayment1.SalesPricePartyAandPartyBagreethatthesalespriceofthepropertybe(CAD______);Thepriceincludes:[priceoftheproperty],[publicmaintenancefund],[permanentinteriordecoration],[air-conditioners]andothers2.TermsofPaymentPartyBshallmakethepaymentinaccordancewithasfollow:A.CashUponsigningofthisAgreement,PartyBshallpay10%oftheprice(________)asthedeposit.Thispaymentshallbemadeinaccordancewith______asfollow:a.PaidtoPartyAinfullandPartyAshallissueaninvoice;b.DepositedtemporarilyThisdepositwillbereleasedonlywhenthetitletransferfromPartyAtoPartyBiscompletedandthepropertyhandoverhasbeenconcluded,andthedepositwillbereleasedtogetherwiththeremainingpaymenttoPartyA.Todothis,PartyAandPartyBneedPartyAandPartyBherebyagreethat,fortheafore-saidmethod(b),oncetheescrowfundisdepositedintheescrowaccountitisdeemedthatPartyBhasperformeditspaymentobligationofdepositandthesalesprice.B.Mortgagea.UponsigningofthisAgreement,PartyBshallpayofthepriceasthedeposit,whichwillbepartofthedownpayment.b.WithindaysaftersigningofthisAgreement,PartyBshallmakeuptherestpartofthedownpayment(thedownpaymentshallbenolessthanofthepriceinaccordancewithmortgagebank’srequirement).Throughthenegotiation,PartyBagreestomaketheafore-saidpaymentinwayasfollow:3a.PaidinfullamounttoPartyAandPartyAshallissueaninvoice;b.DepositedtemporarilyintotheescrowaccountThisdepositwillbereleasedonlywhenthetitletransferfromPartyAtoPartyBiscompletedandthepropertyhandoverhasbeenconcluded,andthedepositwillbereleasedtogetherwiththeremainingpaymenttoPartyA.Todothis,PartyAandPartyBneedtosignaseparateEscrowAgreementwithRegion.PartyAandPartyBherebyagreethat,fortheafore-saidmethod(b),oncetheescrowfundisdepositedintheescrowaccountitisdeemedthatPartyBhasperformeditspaymentobligationofdepositandthedownpayment.IfPartyBmakestheremainingpaymentwithbankmortgage,PartyBshallsignaseparateEntrustedPaymentAuthorizationwithCentury21BeijingRegionforitsmortgageservices.a.IfPartyBsatisfiesthecriteriaofgettingthemortgageloanthroughtheexaminationofthelendingbank,thelendingbankshallremittheloaninlumpsumtothespecialsettlementaccountopenedbyPartyAatthebankinaccordancewiththeEntrustedPaymentAuthorization.b.IncasePartyBdoesnotsatisfythecriteriaofgettingtheloanthroughtheexaminationofthelendingbank,PartyBwillchoosethefollowingmethodsasthesolution:i)Withindaysafterthebankdecidesnottoprovidetheloan,PartyBshallraisetheremainingpaymentbyhimselfandpayincashtoPartyA.PartyBshallbearalltheexpensesoccurredduringthisperiod;ii)TerminatethisAgreement,andPartyAandPartyBshallrefundthemoneywhichhavebeenpaidtoeachother.PartyBshallbearalltheexpensesoccurredduringthisperiod.3.TaxesandfeesA.PartyAandPartyBshallpayallthetaxesandfeesrespectivelyinaccordancewithrelevantregulationsofthestateandlocalgovernments.shallassistPartyAandPartyBtocalculaterelevanttaxesandfees.Throughnegotiation,PartyAandPartyBagreetobearthetaxesandfeesasfollows:Foranytaxesorfeesunspecified,unclear,orchangedwiththepolicy,PartyAandPartyBshallreachaconsensusdaysbeforethetitletransfer,orPartyAandPartyBshallmakethepaymentinaccordancewiththegovernmentregulation.Feesincludingbutnotlimitedtopropertymanagementfee,utilityfeesforwater,electricity,gas,telephoneandothersbeforethehandoverofthepropertyisconcludedshallbebornbyPartyA.AndthefeesaftershallbebornbyPartyB.B.PartyAandPartyBmayentrusttopaytheaforesaidtaxesandfeesandshalltransferthepaymentproof,receiptsandinvoicesissuedbyrelevantgovernmenttothepartiesthatmakethepayment.III.CommissionandtermsofpaymentTheafore-saidcommissionshallnoberefundedbytoanypartyshallthisagreementfailtobeperformedduetodefaultofeitherPartyAorPartyBoncethisAgreementisenteredbythethreeparties.IV.TitletransferagencyservicesPartyAandPartyBshallpreparethecertificatesandmaterialsfortitletransferandshallprovidechargeabletitletransferservicesforPartyAandPartyBwithfees.4V.Handoveroftheproperty1.PartyAandPartyBagreethatPartyAshallvacatethepropertdaysbeforethetitletransfer.shallassistPartyAandPartyBwiththehandoveroftheproperty.IncasePartyAandPartyBagreetoconducthandoverofthepropertyafterthetitletransfer,PartyAshallpayadeposit
