保密协议(英文版)最常用的保密协议模板，木文木为英文版本。编号：ConfidentialityandNon-DisclosureAgreementNon-DisclosureAgreementThisAgreementisenteredintothis23rddayofOctober2012byandbetweenwithofficesat(hereinafterRecipient)andTLJonesParts(Shanghai)withofficesat4thfloor,#75Building,1066QinZhouBeiRoad,Shanghai200233,PRC(hereinafterDiscloser).WHEREASDiscloserpossessescertainideasandinformationrelatingtoMicroscanDoorprotectionandotherliftequipment,thatisconfidentialandproprietarytoDiscloser(hereinafterConfidentialInformation);andWHEREAStheRecipientiswillingtoreceivedisclosureoftheConfidentialInformationpursuanttothetermsofthisAgreementforthepurposeofManufacturing,ServiceandSalesofallTLJones'sproductandotherliftequipmentNOWTHEREFORE,inconsiderationforthemutualundertakingsoftheDiscloserandtheRecipientunderthisAgreement,thepartiesagreeasfollows:1.Disclosure.Disdoseragreestodisclose,andReceiveragreestoreceivetheConfidentialInformation.2.Confidentiality.2.1NoUse.RecipientagreesnottousetheConfidentialInformationinanyway,ortomanufactureortestanyproductembodyingConfidentialInformation,exceptforthepurposesetforthabove.2.2NoDisclosure.RecipientagreestouseitsbesteffortstopreventandprotecttheConfidentialInformation,oranypartthereof,fromdisclosuretoanypersonotherthanRecipient'semployeeshavinganeedfordisclosureinconnectionwithRecipient'sauthorizeduseoftheConfidentialInformation.2.3ProtectionofSecrecy.RecipientagreestotakeallstepsreasonablynecessarytoprotectthesecrecyoftheConfidentialInformation,andtopreventtheConfidentialInformationfromfallingintothepublicdomainorintothepossessionofunauthorizedpersons.3.LimitsonConfidentialInformation.ConfidentialInformationshallnotbedeemedproprietaryandtheRecipientshallhavenoobligationwithrespecttosuchinformationwheretheinformation:(a)wasknowntoRecipientpriortoreceivinganyoftheConfidentialInformationfromDiscloser;(b)hasbecomepubliclyknownthroughnowrongfulactofRecipient;(c)wasreceivedbyRecipientwithoutbreachofthisAgreementfromathirdpartywithoutrestrictionastotheuseanddisclosureoftheinformation;(d)wasindependentlydevelopedbyRecipientwithoutuseoftheConfidentialInformation;or(e)wasorderedtobepubliclyreleasedbytherequirementofagovernmentagency.4.OwnershipofConfidentialInformation.RecipientagreesthatallConfidentialInformationshallremainthepropertyofDiscloser,andthatDisclosermayusesuchConfidentialInformationforanypurposewithoutobligationtoRecipientNothingcontainedhereinshallbeconstruedasgrantingorimplyinganytransferofrightstoRecipientintheConfidentialInformation,oranypatentsorotherintellectualpropertyprotectingorrelatingtotheConfidentialInformation.5.TermandTermination.TheobligationsofthisAgreementshallbecontinuinguntiltheConfidentialInformationdisclosedtoRecipientisnolongerconfidential.6.GoverningLawandEquitableRelief.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofNewZealandandRecipientconsentstotheexclusivejurisdictionoftheNewZealandforanydisputearisingoutofthisAgreement.RecipientagreesthatintheeventofanybreachorthreatenedbreachbyRecipient,Ownermayobtain,inadditiontoanyotherlegalremedieswhichmaybeavailable,suchequitablereliefasmaybenecessarytoprotectOwneragainstanysuchbreachorthreatenedbreach.7.FinalAgreementThisAgreementterminatesandsupersedesallpriorunderstandingsoragreementsonthesubjectmatterhereof.ThisAgreementmaybemodifiedonlybyafurtherwritingthatisdulyexecutedbybothparties.8.NoAssignment.RecipientmaynotassignthisAgreementoranyinteresthereinwithoutOwner'sexpresspriorwrittenconsent.9.Severability.IfanytermofthisAgreementisheldbyacourtofcompetentjurisdictiontobeinvalidorunenforceable,thenthisAgreement,includingalloftheremainingterms,willremaininfullforceandeffectasifsuchinvalidorunenforceabletermhadneverbeenincluded.10.SurvivalofRightsandObligations.ThisAgreementshallbebindingupon,inuretothebenefitof,andbeenforceableby(a)Disdoser,itssuccessors,andassigns;and(b)Recipient,itssuccessorsandassigns.INWITNESSWHEREOF,thepartieshaveexecutedthisagreementeffectiveasofthedatefirstwrittenabove.DISCLOSER(TLJonesParts(Shanghai))RECIPIENT()Signed:PrintName:Title:Date:Signed:PrintName:Title:Date:
