1外贸合同SALESCONTRACT日期Date:合同号ContractNo.:卖方Seller:买方Buyer:地址:地址Address:电话Tel:传真Fax:电话Tel:传真Fax:Email:联系人ContactPerson:联系人ContactPerson:最终用户：本合同由买卖双方订立。根据本合同规定的条款，买方同意购买且卖方同意出售下述货物：ThisContractismadebyandbetweentheBuyerandtheSeller,wherebytheSelleragreestosellandtheBuyeragreestobuythebelow-mentionedgoodsonthetermsandconditionsstipulatedhereunder:1货物详情ParticularsoftheGoods货名及规格GoodsandSpecifications数量Quantity单价UnitePrice总价Totalamount生产国别和制造厂商:SAYUSD2贸易条款DeliveryTerms2.1交付条件DeliveryTerms:CIFBeijing2.2在本合同中，描述双方权利义务的贸易术语如FCA，应按照位于巴黎的国际商会最新出版的《国际贸易术语解释通则》（“Incoterms”）解释。ForpurposesofthisContract,tradeterms(e.g.,FCA)usedtodescribetherightsandobligationsofthepartiesshallhavethemeaningsassignedtothembythelatestIncotermspublishedbytheInternationalChamberofCommerce,Paris.345装运条款ShippingTerms付款条件Payment包装及标准Packing&Standards3.1交货时间TimeofDelivery:收到预付款后60个工作日内,并且在免税办理完成后Within60workingdaysaftersigningthecontractandTax-Freeprocedurecompleted.3.2装运口岸PortofShipment:MAINAIRPORT3.3到货口岸PortofDestination:AIRPORT每批货物装运启航后，卖方即以传真通知买方合同、货名、数量、重量、总值、开航日期和目的口岸。ImmediatelyaftertheGoodshavebeenshippedanddeparted,theSellershallnotifytheBuyerbyfaxthecontractnumber,nameofGoods,quantity,weight,totalvalue,FlightNo.,shippingdateandtheportofdestination.货物允许转运，但不可分批运输。Trans-shipmentisacceptable,butpartialshipmentisnotallowed.L/C100%.90%willbepaidatsight,10%willbepaidagainstfinalacceptancesignedandsealedbybuyerandEnduser.100%信用证付款，90%即期信用证，10%根据最终用户签字盖章的验收报告付款货物应具有防潮、防锈蚀、防震并适合远洋运输的包装。由于货物包装不充分或不适当而造成的货物残损、灭失应由卖方负责。卖方应在每个包装箱上用不褪色的颜色标明尺码、包装箱号码、毛重、净重及“此端向上”、“防潮”、“小心轻放”等标记，并刷有下列唛头：2唛头：ThepackingoftheGoodsshallbepreventivefromdampness,rust,moisture,erosionandshock,andshallbesuitableforoceantransportation.TheSellershallbeliableforanydamageandlossoftheGoodsattributabletotheinadequateorimproperpacking.Themeasurement,numberofpackage,grossweight,netweight,andthecautionssuchas“DONOTSTACKUPSIDEDOWN”,“KEEPAWAYFROMMOISTURE”,“HANDLEWITHCARE”shallbestencilledonthesurfaceofeachpackagewithfadelessmarks,andthefollowingshippingmarkshallbestencilled:ShippingMark:6Insurance保险合同下提供的货物在制造、购置、运输、存放及交货过程中的丢失或损坏，应该按照发票金额的110%投保一切险。TheGoodssuppliedundertheContractshallbeinsuredwithAllRisksat110%oftheinvoicevalueagainstlossordamageincidentaltomanufacture,acquisition,transportation,storage,anddelivery.7检验与验收Inspection&testingandAcceptance7.1发货前，卖方制造厂应对货物的符合合同标准进行检验，出具检验证明书或出厂合格证书。Priortoshipment,theSellermanufacturershallconductinspection/testontheGoods’conformitytotheContractSpecifications,andissueaninspectioncertificateorconformitycertificate.7.27.3货物交付后，买方应在十五(15)天内对货物的数量、规格及表面状况进行开箱检验。买方应提前通知卖方检验时间和地点，卖方有权委派代表参加检验。如果出现短缺、破损或错发等，买方应立即通知卖方任何不符情况;如果出现短缺、破损或错发的，由卖方补足、替换或重发并承担相关的费用。若在上述期限内买方未通知卖方任何不符情况，则视为所交付货物的数量、规格及表面状况均符合双方约定。Withinfifteen(15)daysafterdeliveryoftheGoods,theBuyershallconductan“openbox”inspectionoftheGoodsinrespectoftheirquantity,specificationsandapparentorderandcondition.TheBuyershallinformtheSellerinadvanceandtheSellerhastherighttosenditsrepresentativetojointheinspection.Incaseofshortage,damageorwrongdelivery,theBuyershallpromptlynotifytheSellerofthediscrepancies,andtheSellerwillmakeuptheshortage,replacethedamagedGoodsorsendthecorrectGoods,andbeartherelatedcosts.IftheBuyerdoesnotnotifytheSellerofanysuchdiscrepancieswithintheprescribedperiod,thequantity,specificationsandapparentorderandconditionofthedeliveredGoodsshallbedeemedincompliancewiththisContract.在货物到达目的地口岸90天内，如发现货物的质量与本合同规定不符或发现货物无论任何原因引起的缺陷包括内在缺陷或使用不良的原料，除属于保险公司或承运方责任之外，买方应申请中国进出口商业检验局对有关的货物进行检验，买方有权根据商检证书向卖方索赔。If,within90daysafterarrivaloftheGoodsatthedestination,shouldthequalityoftheGoodsbefoundnotinconformitywiththecontractedstipulations,orshouldtheGoodsprovedefectiveforanyreasons,includinglatentdefectortheuseofunsuitablematerials,theBuyershallarrangeforaninspectiontobecarriedoutbytheChinaCommodityInspectionBureauandhavetherighttoclaimagainsttheSelleronthestrengthoftheinspectioncertificateissuedbytheInspectionBureau,withtheexceptiontothoseclaimsforwhichtheinsurancecompanyorthefreightforwarderareliable.8质量保证Warranty8.1卖方保证合同下所提供的货物是全新的、未使用过的、最新的或最现代型号的，没有设计、材料或工艺上的缺陷(买方要求的设计或材料除外)。卖方同时保证所提供的货物质量符合其发布的技术规格或双方另行书面约定的标准。TheSellerwarrantsthattheGoodssuppliedundertheContractarenew,unused,ofthemostrecentorcurrentmodelsandtheyincorporateallrecentimprovementsindesignandmaterialsunlessprovidedotherwiseintheContract.TheSellerfurtherwarrantsthatallGoodssuppliedundertheContractshallhavenodefect,arisingfromdesign,materials,orworkmanship(exceptwhenthedesignand/ormaterialisrequiredbytheBuyer).TheSelleralsowarrantsthattheGoodssuppliedconformtoitspublishedspecificationsorthespecificationsagreeduponinwritingbytheParties.8.2除非本合同另有规定，质量保证期限为自货物验收后十二(12)个月，或自货物交运之日起十四(14)个月，以先到日期为准。UnlessotherwisespecifiedintheContract,suchwarrantyshallbevalidforone(1)yearfromthedateofacceptanceoftheGoods,orfourteen(14)monthsfromthedateofshipment,whicheverisearlier.上述质量保证责任不涵盖由于由货物以外的原因（比如意外事件/自然灾害，断电或电涌，货物储存不当或不按照使用指南操作等）造成的质量问题。3TheabovequalitywarrantydoesnotcoverproblemscausedbyfactorsexternaltotheGoodssuchasaccidentordisast
