TechnicalServicesAgreementBetweenAXXXXandBXXXXDatedasof14thJuly20102THISTECHNICALSERVICESAGREEMENTismadeasofthe14THdayofJULY2012(“EffectiveDate”)BETWEENBXXXX,acompanyregisteredunderthelawsofthePeople’sRepublicofChinahavingitsregisteredofficeat************,China(subsequentlyreferredtoasthe“Manager”)andAXXXX,acompanyregisteredunderthelawsoftheFederalRepublicof**,havingitsregisteredofficeat**********(subsequentlyreferredtoasthe“Company”).ManagerandCompanyareindividuallyreferredtoas“Party”andcollectivelyreferredtoas“Parties”.RECITALSA.FurthertotheFederalGovernmentof**programmetoprivatizethesuccessorcompaniesofthePowerHoldingCompanyof**,theCompanyistheleadmemberoftheconsortiumknownas*****(“Consortium”),whichhasbeenprequalifiedbytheBureauofPublicEnterprisestobidfortheacquisitionofmajoritysharesinthesuccessorgenerationcompanies.B.TheManagerunderstandsthattheCompanyisintheprocessofbeingincorporatedattheCorporateAffairsCommission.C.TheCompanydesirestoengagetheManagertoprovidecertaintechnicalandadministrativeservicesmoreparticularlydescribedinthisAgreementandtheManageriswillingtorendersuchservices,onthetermsandconditionssetforthinthisAgreement.D.ThepromotersoftheCompanyhaveundertakentoensurethatthisAgreementisratifiedbytheCompanyuponincorporation,pursuanttoSection72oftheCompaniesandAlliedMattersAct.CapC20LFN2004providedthesameshalltakeeffectintheeventanyoftheConsortium’sbidsissuccessful.InconsiderationofthepromisesandthemutualcovenantsandagreementssetforthinthisAgreementandforothervaluableconsideration,thePartiesagreeasfollows:1.AppointmentofManager1.1.SubjecttoapprovaloftheNationalOfficeforTechnologyAcquisitionandPromotion(“NOTAP”),fromthedatesuchapprovalisgivenandcontinuingunlessanduntilterminatedasprovidedinthisAgreement,theCompanyherebyappointstheManagerexclusivelyandtheManagerherebyagreestousereasonableeffortstocarryoutcertaintechnicalservicesinconnectionwiththebusinessoftheCompany,setforthinClause2below(the“TechnicalServices”)inaccordancewiththeprovisionsofthisAgreement.1.2.DuringthetermofthisAgreement,theManagershallatalltimesandinallrespectsconformtoandcomplywiththelawfulandreasonabledirections,regulationsandrecommendationsmadebytheBoardofDirectorsoftheCompany(the“Board”)andintheabsenceofany3specificdirections,regulationsandrecommendationsasstatedabovetakesuchstepsastheManagermayfromtimetotimeconsidernecessarytoenabletheManagertoperformtheTechnicalServicesinaccordanceandsubjecttothetermsandconditionsofthisAgreement.2.TechnicalServicesSubjecttofurtherlawfulandreasonabledirections,regulationsandrecommendationsmadebytheBoardandthetermsandconditionsofthisAgreement,theManagerisherebyinstructedto,andshall,carryout,duringthetermofthisAgreementthefollowingTechnicalServices:2.1DaytodayoperationandmanagementoftheCompany’sbusiness2.2Designandimplementthestrategies,theproceduresandactionplanstoachievetheminimumperformancetargetssetinthePAwithinthetimeperiodspecifiedtherein.2.3Prepareandimplementtheannualbusinessplan;2.4Providesuitablyqualified,trained,experiencedandcompetentpersonnelfortheproperperformanceoftheTechnicalServices;2.5Providesupportintheselection,hiring,assigningandsupervisionofitspersonnel(includingtheobtaining,maintainingand,wherenecessary,renewingofworkpermitsandanyothernecessarypermissions,registrations,authorisations,licencesandpermitsinrelationtosuchpersonnel).2.6Provide,inatimelyfashionandonacontinuingbasis,allproperandadequatetechnicalinformation,services,literatureandsimilarresourcestoenabletheCompanytooperate,maintainandmonitorinaccordancewiththeprudentindustrypractice,ruleandregulationsandtheagreementstowhichtheCompanyisaparty;2.7IdentifytheneedsandrequirementsforthetrainingoftheCompany’sworkforceandestablishproperandadequatetraininginallrelevantdisciplinesandactivities(includingappropriateemergencymeasures)forallpersonnel;42.8Ensurethattheoperationandmaintenanceproceduresareestablishedinaccordancewiththeprudentengineeringandoperatingpractices,applicablelawsandregulationsandagreementstowhichtheCompanyisaparty;2.9OnbeinggivenreasonablenoticebytheCompany,makesuitablyqualifiedandexperiencedpersonnelavailableforconsultation(whetherinpersonorbytelephoneorothermeans);2.10Providesuchotherpersonnel,technicalassistance,know-howinformationfortheoperationandmaintenanceoftheCompany’sassets;2.11Intheeventofanemergencyprovide,inatimelymanner,suchotherpersonnel,technicalassistance,know-howandinformationasmayberequiredunderthecircumstances;2.12AdvisetheCompanyontheselectionandappointmentofconsultantsandtheneedforconsultantstoprovideadviceandservicestotheCompanyinrelationtotheCompany’soperations;2.13AdvisetheCompanyonthetermsofconsultants’appointmentsandfeestructuresandwhereappropriate,preparetenderorbriefingdocumentsinrespectofsuchappointments;2.14AdvisetheCompanyonrequirementsforprofessionalindemnityinsurance,bonds,liquidateddamagesandwarrantieswhichmaybeadvisableinrespectoftheadviceandservicestobeprovidedbytheconsultants;2.15Monitortheperformanceoftheconsultants,theirstaff,agents,sub-contractorsandsuppliersinth
