Service Agreement

ServiceAgreement1.Definition.'ABC'shallmeanABC(China)Electronics,Ltd.'Customer'shallmeanthecustomernamedintheAgreement;and'Product'shallcollectivelymeantheEquipmentandSoftwarewhichABCandCustomeragreetobeservicedpursuanttothisServiceAgreement.SuchProductislistedonthefirstpageofthisAgreement.2.Acceptance.ThetermsandconditionssetforthonalltwelvepagesofthisAgreementisanoffertopurchaseServicebyCustomerwhichshallbecomeaServiceAgreementwhenacknowledgedinwritingbyABC''sServiceDepartment;andthebanking,negotiationorotheruseofanypaymentshallnotconstituteanacceptancebyABC.ItisagreedthatServiceshallbeprovidedonlyonthetermsandconditionscontainedinthisAgreement.ABCshallnotbeboundbytermsandconditionsinCustomer''spurchaseorderorelsewhereunlessexpresslyagreedtoinwriting.BothpartiestothisAgreementagreethatuponacceptancebyABC''sServiceDepartment,ABC''sinterestintheAgreementisassignedtoABC,Inc.(MINC).3.ServiceDefinedABCagreestoprovideservicefortheCustomerfortheProductlistedonthefirstpageofthisAgreement.SuchProductsshallbeservicedaccordingtothetermsandconditionsonalltwelvepagesofthisAgreement('Service').TheServiceshallbeginandendonthedatessetforthonthefirstpageofthisAgreement.ABCshallalsoServiceotherProductmanufacturedbyMINC.orMINC''ssubsidiariesandpurchasedbycustomerduringthetermofthisAgreementonthesametermsandconditionssetforthinthisAgreementatthethencurrentservicefeesforsuchProduct.UpondeliveryofsuchotherProducttoCustomer,servicefeesforServiceofsuchotherProductshallbeaddedtothebillingcyclefollowingexpirationofthelaborwarrantyonsuchotherProduct.Intheeventofloss,damage,theftorremovalfromServiceofanyProduct,Customershallimmediatelyreporttheloss,damage,theftorremovalinwritingtoABC.Inthisevent,Customer''sobligationtopayservicefeeswithrespecttoanysuchProductshallterminateattheendofthemonthinwhichABCreceivessuchwrittenreport.MobileProductshallberemovedandreinstalledindifferentvehiclesatCustomer''srequestfortheservicefeeineffectatthetimeofCustomer''srequest.ThisAgreementdoesnotincludeserviceofanytransmissionline,antenna,towerortowerlighting,unlesssuchworkisdescribedonthefirstpageofthisAgreement.ServiceshallincludethelaborandpartsrequiredtorepairProductwhichhasbecomedefectivethroughnormalwearandusage.Thisdoesnotincludeconsumableandtheirinstallation.ServicedoesnotincludetherepairorreplacementofProductwhichhasotherwisebecomedefective,including,butnotlimitedto,damagecausedbyaccidents,physicalorelectronicabuseormisuse,actsofGod,firesorothercasualty.Serviceperformedfornon-coveredrepairsshallbebilledatABC''sabovecontractrateapplicableforsuchService.ProductundercontractmustbemaintainedinenvironmentalconditionsassetforthintheProductspecificationsanddamageresultingfromenvironmentalconditionsnotconformingtothespecificationsisnotcoveredbythisAgreement.WheretelephonelinesandProductareusedinconjunctionwithABCmaintainedProduct,ABCshallhavenoobligationorresponsibilityforsuchtelephonelinesorProductbutshall,uponrequest,assisttheTelephoneCompanyinrepairingsuchuponpaymentattheappropriateabovecontractrate.CustomershallindicateonthefirstpageofthisAgreementanyProductwhichisintrinsicallysafesothatappropriatepartsandproceduresmaybeusedtomaintainsuchstatus.Attheexpirationoftwelve(12)monthsafterthecommencementofServicehereunder(oranytimethereafter),ifProductcannotinABC''sopinionbeproperlyoreconomicallyrepaired,because(butnotlimitedto)excessivewear,deteriorationorunavailabilityofparts,ABCatitssoleoption,uponthirty(30)dayspriorwrittennoticetoCustomersentbycertifiedmail,mayeither:(1)removesuchProductfromthisAgreement;or(2)mayincreasethepricetoServicesuchProduct.Customershallhavethirty(30)daysfromreceiptofnoticeofpriceincreasetoobjecttosuchincrease.IfCustomerproperlyobjectstosuchincrease,ABCshallthenhavetheoptiontoremovesuchProductfromcoveragebythisAgreement.Customer''sobligationtopayServicefeeswithrespecttoProductremovedfromthisAgreementshallterminateattheendofthemonthduringwhichsuchProductisremoved.TheProductshallbeservicedbyABCinaccordancewiththefollowingstandards:(i)ABCpartsorpartsequalqualityshallbeused;(ii)theProductshallbeservicedatlevelssetforthinABC''sproductmanuals;and(iii)routineserviceproceduresprescribedfromtimetotimebyABCforitsProductshallbefollowed.5.TimeAndPlaceofService.ServiceshallbedoneatthelocationspecifiedonthefirstpageofthisAgreement.WhereServiceistobeperformedatthelocationoftheProduct,Customershallfurnishshelter,heat,lightandpowerattheselocations,CustomershallnotifyABCimmediatelyofProductfailure,allowABCfullandfreeaccesstotheProduct,andcooperatefullywithABCinABC''sservicingoftheProduct.WaiverofliabilitybyABCagainstCustomerorotherrestrictionsshallnotbeimposedbyCustomerasasiteaccessrequirement.CustomershallallowABCfullandfreeaccesstotheProduct.CustomershallallowABCtousenecessarymachines,communications,facilities,featuresandotherproduct(exceptasnormallysuppliedbyABC)atnocharge.MobilesandremovableProductshallbedeliveredbyCustomertotheABCServiceCenterindicatedonthefirstpageofthisAgreement.HoursofServiceunderthisAgreementshallbethenormalworkinghou
