AGREEMENT OF BOT PROJECT

AGREEMENTOFBOTPROJECTThisAgreementismadeandenteredintobyandbetweenthegovernmentof_____________(hereinaftercalled'B')representedby________(hereinaftercalled'A')and__________Corporation,acompanydulyorganizedandexistingunderthelawsofthePeople'sRepublicofChinawithitsprincipalofficeat___________(hereinaftercalled'C').Whereas,AandCconcludedtheMemorandumConcerning__________Projectonthe____________andChadbeengivenExclusiveRightfromBtocarryoutinvestigationandimplement____________Project(hereinaftercalled'theProject')bywayofjointfinancingbetweenCandB(socalledBOT).Whereas,theloanagreement,guaranteeagreement,letterofguarantee,etc.shallconstituteintegralcomponentsofthisAgreement.TheProject'sinstalledcapacityis__________.Nowtherefore,thepartiesherebyagreeasfollows:1.DefinitionandInterpretation'Project'meanstheplanning,feasibilitystudy,designandengineering,construction,equipping,completion,testing,commissioningandoperationoftheinfrastructureproject.'ProjectCost'meansthecostspecifiedinClause3.'OperationPeriod'meanstheperiodspecifiedinClause10.1fromthestartingdateofcommercialoperationoftheinfrastructureproject.'CompletionDate'meansthedayuponwhichCcertifiesthattheinfrastructureprojecthassuccessfullycompleteditstestingandcanstartOperationPeriod.'ForceMajeure'shallhavethemeaningspecifiedinClause16.'ProjectScope'meansthescopeofsupplyandservicesofCinconnectionwiththeexecutionoftheProjectasdescribedinAnnex2.'Site'meansthesitefortheinfrastructureprojectincluding___________,specialroads,andotherareasforconstructionasspecifiedinAnnex2.'TransferDate'meansthedayfollowingthelastdayoftheOperationPeriod.'NewCompany'meanstheCompanytobeestablishedbetweenCand________entityasspecifiedinClause5.'InvestmentAgreement'meanstheAgreementonMutualEncouragementandProtectionofInvestmentbetweentheGovernmentofthePeople'sRepublicofChinaandtheGovernmentofthe___________.'ExclusiveRight'meansthespecialpowergrantedtoCorNewCompanyintheMemorandum,Agreementanditsannex.'Day'meansthesolarcalendarday.2.TheProject2.1TheProjectshallbenamedas'________'.2.2Theinfrastructureprojectisintendedtobelocatedat__________.Theexactlocationoftheinfrastructureprojectmaybeadjustedatthestageofdetaileddesigninconsiderationofthesitecondition.2.3TheProjectshallbeimplementedonBuilding,OperationandTransferBasis.2.4TheProjectshallbecomposedof____________________,_________,_________,thedetailsofwhichshallbeasattachedAnnex2-ScopeoftheProject.2.5ThefinalfeasibilitystudyreportanddetaileddesignafteracceptanceofBandCshallformbasisforthedevelopmentandcompletionoftheProject.3.TheProjectCost3.1Theprojectcostis$______,interestoftheconstructionperiodis$______,thetotalprojectcostis$__________,andthedetailsofwhichareshowninAnnex3-ProjectCost.3.2ThetotalprojectcostshallcomprisebutnotlimitedtothefollowingcostsandthedetailsoftheprojectcostshallbeasattachedAnnex3-ProjectCost:1)Costforfeasibilitystudy,designandengineeringandotherconsultingservices;2)Costforconstructionandinstallation;3)Costforpurchasingequipmentandmaterials;4)Costforadministrationincludingoverseasexpenses;5)Overheadandmiscellaneousexpenses;6)Contingencies;7)Interestduringtheconstructionperiod(__________%perannumplusbankcommission);8)Premiumforconstructioninsuranceandexportcreditinsurance.3.3TheProjectCostshallbebasedonthefeasibilitystudyreportandincaseofasubstantialvariationininvestmentarisingfromgeologicreasons,theadditionalparttotheProjectCostshallbeapprovedbyB.AnadditionalinvestmentagreementorcontractshouldbeconcludedbetweenBandC.4.ResponsibilitiesforProjectExecution4.1CshallberesponsibleforthefollowingprovidedthatifandafterNewCompanyisestablished,responsibilitiesshallbetransferredtoNewCompanyandbesharedbythemembersofNewCompany:1)thedesignandengineering,procurement,constructionandcommissioningoftheProject;2)allcostsinconnectionwiththebuildingoftheinfrastructureprojectandthearrangementofallnecessaryfunding;3)operationoftheinfrastructureproject;4)transferoftheinfrastructureprojecttoBontheTransferDate;4.2Bshallberesponsiblefor:1)thearrangementof:theprovisionofallnecessarydevelopmentapprovals,permits,consents,siteleases,accessandotherrightsforCorNewCompanytogetherwiththefulfillmentofessentialrequirementssuchascompanyregistration,importlicenseandexemptionofcustomsdutiesandthelike;theprovisionofallnecessaryordesirableaidsforCtoobtaintheloan;obtainingofallregulatory,statutoryandotherconsents,approvals,authorizations,taxconcessionsandinvestmentincentivesasdescribedhereinafterwhicharenecessaryordesirablefortheimplementationoftheProject;obtainingofallnecessarypermitsandapprovalsfromtherelevant_____________authoritiesforCorNewCompanytorepatriatecapitalanddividendsinUSDollarsfrom______;obtainingofresidentvisas,workpermitsandothernecessaryapprovalsfromtherelevantauthoritiesforCorNewCompany'spersonnel,design,manufacturing,installationandconstructionpersonnelaswellastheirdirectrelativesincludingthetravelin___________;theprovisionofallnecessaryapprovalsandpermitsrelatingtoextensionoftheinfrastructureprojectandtheProjectfacilitiesinordertoincrease_____
