RESEARCHAGREEMENTresearchagreementbetweentheresearchfoundationofstateuniversityofnewyorkandsponsorr.f.account#____________________madebyandbetweentheresearchfoundationofstateuniversityofnewyork,anonprofit,educationalcorporationorganizedandexistingunderthelawsofthestateofnewyork,withitsprincipalofficeslocatedat35statestreet,albany,newyork12207(mailingaddress:postofficebox9,albany,newyork12201‑0009),hereinafterreferredtoasthe“foundation,”actingonbehalfofthestateuniversityofnewyorkat______________,hereinafterreferredtoas“university,”and________________,acorporationorganizedandexistingunderthelawsofthestateof__________________,withitsprincipalofficelocatedat_______________________,hereinafterreferredtoas“sponsor.”witnesseth:whereas,sponsorandfoundationhaveamutualinterestinpromotingresearchrelatedto_______________,hereinafterreferredtoasthe“field;”andwhereas,________________________________ofthestateuniversityofnewyorkatdevelopedexpertiserelatingtothefield;andwhereas,sponsorhasapprovedfundingtosupportaresearchprojectentitled“___________________________________,”hereinafterreferredtoasthe“project”whichwillbecarriedoutby_________________________;now,thereforeinconsiderationofthepremisesandthemutualcovenantshereinaftercontained,thepartiesagreeasfollows:1.scopeofworkthefoundationagreestouseitsbesteffortstoconductandcarryouttheprojectdescribedinthescopeofwork,exhibita,whichisattachedtoandmadeanintegralpartofthisresearchagreement.2.reportsduringthetermofthisresearchagreement,foundationshallprovidewrittenreportstosponsorasspecifiedinexhibita.3.compensation[fixedprice]a)inconsiderationofresearchservicestobeperformedpursuanttothisresearchagreement,sponsorshallmakefixedpaymentsinthetotalamountoffeeamountshallbepaidtofoundationuponsubmissionofinvoicesaccordingtothefollowingschedule:__________‑onexecutionofthisresearchagreement__________‑interestpenaltyof1.5%permonthwillbeaddedtothetotalinvoiceamountofpaymentifnotreceivedwithinforty-five(45)daysoftheinvoicedate.[costreimbursable]fullandcompleteconsiderationoffoundation’sperformanceunderthisagreement,thesponsorshallreimbursefoundationforallowablecostsincurredinaccordancewiththetermsofthisagreement,upto______________________dollars,whichshallbespentinaccordancewiththebudgetsetforthinexhibita,attachedhereshallbemadetofoundationuponsubmissionofinvoicestosponsorasprovidedbelow.foundationwillsubmit[monthly;quarterly]aninvoiceorvoucherofcostsincurredbythefoundationintheperformanceofthisagreementandclaimedtoconstituteallowableafterreceiptofeachinvoiceorvoucher,sponsorshallmakepaymentthereon.interestpenaltyof1.5%permonthwillbeaddedtothetotalinvoiceamountofpaymentifnotreceivedwithinforty-five(45)daysoftheinvoicedate.4.termthisagreementshallbeeffectiveon____________________andshallcontinuethrough____________________unlessterminatedsoonerorextendedashereinafterprovided.5.terminationeithersponsororfoundationmayterminatethisresearchagreementatanytimebygivingthirty(30)dayswrittennoticeofterminationtotheothercontractingparty.intheeventoftermination,sponsorshallreimbursefoundationforcontractualcommitmentsandfinancialobligationsincurredbyfoundationinperformanceofthisresearchagreementpriortosuchtermination,ifsuchfinancialobligationsorcontractualcommitmentscannotbecanceledbythefoundation.itisunderstoodandagreed,however,intheeventthatfoundationhasevidencethatsponsorisindefaultuponanyofitsobligationshereunder,foundationshallbeentitledtoeithersuspendthecontractuntilanacceptableremedyisestablished,ortoterminatetheterminationshallbeeffectiveimmediatelyuponreceiptofofficialwrittennotificationfromshallalsobeentitledtopursueanyrightsorremedieswhichfoundationmayhaveagainstsponsorbyreasonofsuchdefault,andfoundationmaywithholdanypaymentstosponsorforthepurposeofset‑offuntilsuchtimeastheexactamountofdamagesmaybedetermined.6.changeinprojectdirectorifforanyreasonthefoundationprojectdirectorisunabletofulfilltheresponsibilitiesrequiredtocarryoutthisresearchagreement,thepartiesshallnegotiateingoodfaiththecontinuanceofthisresearchifanotherprincipalinvestigatorsatisfactorytosponsorcannotbeagreedupon,sponsormayterminatethisresearchtheeventofterminationbysponsor,foundationshallbereimbursedforallcostsitincursinconnectionwiththisresearchagreementwhicharisefromcommitmentsmadebyfoundationpriortoreceiptofnoticeoftermination,providedthecommitmentscannotbeterminatedbythefoundation.7.proprietaryinformationitisunderstoodthatinthecourseofcarryingoutthisresearchagreement,sponsorandfoundationmaywishtoshareproprietaryinformation.thepartiesagreetousetheirbesteffortstopreventdisclosureofinformationwhichisclearlymarkedasproprietarytoanyoneotherthanthoseindividualswhohaveaneedtoknowthisinformationforpurposesofcarryingouttheirobligationsinconnectionwiththisresearchagreement.8.publicationsthefoundationprojectdirectorand/orfoundation’sprojectstaffshallhavetherighttopublishtheresultsofanyresearchconductedunderthisresearch9.inventionsandlicensesshallholdtitletoallinventions(includingknow‑how)whicharediscoveredduringtheconductofworkunder
