ExclusiveAgencyAgreementThisagreementismadeandenteredintobyandbetweenthepartiesconcernedon_________,_________in_________,Chinaonthebasisofequalityandmutualbenefittodevelopbusinessontermsandconditionsmutuallyagreeduponasfollow:1.ThePartiesConcernedPartyA:_________Add:____________Tel:_____________PartyB:_________Add:____________Tel:_____________2.AppointmentPartyAherebyappointsPartyBasitsExclusiveAgenttosolicitordersforthecommoditystipulateinArticle3fromcustomersintheterritorystipulatedinArticle4,andPartyBacceptsandassumessuchappointment.3.Commodity“GoldenFish”BrandWashingMachines4.TerritoryInSingaporeonly5.MinimumturnoverPartyBshallundertaketosolicitordersfortheabovecommodityfromcustomersintheaboveterritoryduringtheeffectiveperiodofthisagreementfornotlessthanUSD100,000,00.6.PriceandPaymentThepriceforeachindividualtransactionshallbefixedthroughnegotiationsbetweenPartyBandthebuyer,andsubjecttoPartyA'sfinalconfirmation.Paymentshallbemadebyconfirmed,irrevocableL/CopenedbythebuyerinfavorofPartyA,whichshallreachParthA15daysbeforethedateofshipment.7.ExclusiveRightInconsiderationoftheexclusiverightsgrantedherein,PartyAshallnot,directlyorindirectly,sellorexportthecommoditystipulatedinArticle4tocustomersinSingaporethroughchannelsotherthanPartyB;PartyBshallnotsell,distributeorpromotethesalesofanyproductscompetitivewithorsimilartotheabovecommodityinSingaporeandshallnotsolicitoracceptordersforthepurposeofsellingthemoutsideSingapore.PartyAshallrefertoPartyBanyenquiriesorordersforthecommodityinquestionreceivedbyPartyAfromotherfirmsinSingaporeduringthevalidityofthisagreement.8.MarketReportInordertokeepPartyAwellinformedoftheprevailingmarketconditions,PartyBshouldundertaketosupplyPartyA,atleastonceaquarteroratanytimewhennecessary,withmarketreportsconcerningchangesofthelocalregulationsinconnectionwiththeimportandsalesofthecommoditycoveredbythisagreement,localmarkettendencyandthebuyer'scommentsonquality,packing,price,etc.ofthegoodssuppliedbyPartyAunderthisagreement.PartyBshallalsosupplypartyAwithquotationsandadvertisingmaterialsonsimilarproductsofothersuppliers.9.AdvertisingandExpensesPartyAshallbearallexpensesforadvertisingandpublicityinconnectionwiththecommodityinquestioninSingaporewithinthevalidityofthisagreement,andshallsubmittoPartyAallaudioandvideomaterialsintendedforadvertisingforpriorapproval.10.CommissionPartyAshallpayPartyBacommissionof5%onthenetinvoicedsellingpriceonallordersdirectlyobtainedbyPartyBandacceptedbypartyA.NocommissionshallbepaiduntilPartyAreceivesthefullpaymentforeachorder.11.TransactionsBetweenGovernmentalBodiesTransactionsconcludedbetweengovenmentalbodiesofPartyAandPartyBshallnotberestrictedbythetermsandconditionsofthisagreement,norshalltheamountofsuchtransactionsbecountedaspartoftheturnoverstipulatedinArticle5.12.IndustrialPropertyRightsPartyBmayusethetrade-marksownedbyPartyAforthesaleoftheWashingMachinescoveredhereinwithinthevalidityofthisagreement,andshallacknowledgethatallpatents,trademarks,copyrightsoranyotherindustrialpropertyrightsusedorembodiedintheWashingMachinesshallremaintobethesolepropertiesofPartyA.Shouldanyinfringementbefound,PartyBshallpromptlynotifyandassistPartyAtotakestepstoprotectthelatter'srights.13.ValidityofAgreementThisagreement,whendulysignedbythebothpartiesconcerned,shallremainifforcefor12monthsfromOctober1,1992toSeptember30,1993,anditshallbeextendedforanother12monthsuponexpirationunlessnoticeinwritingisgiventothecontrary.14.TerminationDuringthevalidityofthisagreement,ifeitherofthetwopartiesisfoundtohaveviolatedthestipulationsherein,theotherpartyhastherighttoterminatethisagreement.15.ForceMajeureEitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisagreementduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelativeparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.16.ArbitrationAlldisputesarisingfromtheperformanceofthisagreementshallbesettledthroughfriendlynegotiation.Shouldnosettlementbereachedthroughtnegotiation,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission(Beijing)andtherulesofthisCommissionshallbeapplied.Theawardofthearbitrationshallbefinalandbindinguponbothparties.PartyA:_________PartyB:_________(Signature)(Signature)
