By-LawsA_________(PLACENAME)CORPORATIONArticleICORPORATEOFFICESTheprincipalofficeofthecorporationintheStateof_________(PLACENAME)shallbelocatedat_________(ADDRESS).Thecorporationmayhavesuchotheroffices,eitherwithinorwithouttheStateofincorporationastheboardofdirectorsmaydesignateorasthebusinessofthecorporationmayfromtimetotimerequire.ArticleIISHAREHOLDERS'MEETINGSSection1.PlaceofMeetingsThedirectorsmaydesignateanyplace,eitherwithinorwithouttheStateunlessotherwiseprescribedbystatute,astheplaceofmeetingforanyannualmeetingorforanyspecialmeetingcalledbythedirectors.Awaiverofnoticesignedbyallstockholdersentitledtovoteatameetingmaydesignateanyplace,eitherwithinorwithouttheStateunlessotherwiseprescribedbystatute,astheplaceforholdingsuchmeeting.Ifnodesignationismade,orifaspecialmeetingbeotherwisecalled,theplaceofmeetingshallbetheprincipalofficeofthecorporation.Section2.AnnualMeetingsThetimeanddatefortheannualmeetingoftheshareholdersshallbesetbytheBoardofDirectorsoftheCorporation,atwhichtimetheshareholdersshallelectaBoardofDirectorsandtransactanyotherproperbusiness.UnlesstheBoardofDirectorsshalldetermineotherwise,theannualmeetingoftheshareholdersshallbeheldonthesecondMondayofMarchineachyear,ifnotaholiday,atTeno'clockA.M.,atwhichtimetheshareholdersshallelectaBoardofDirectorsandtransactanyotherproperbusiness.Ifthisdatefallsonaholiday,thenthemeetingshallbeheldonthefollowingbusinessdayatthesamehour.Section3.SpecialMeetingsSpecialmeetingsoftheshareholdersmaybecalledbythePresident,theBoardofDirectors,bytheholdersofatleasttenpercentofallthesharesentitledtovoteattheproposedspecialmeeting,orsuchotherpersonorpersonsasmaybeauthorizedintheArticlesofIncorporation.Section4.NoticesofMeetingsWrittenorprintednoticestatingtheplace,dayandhourofthemeetingand,inthecaseofaspecialmeeting,thepurposeorpurposesforwhichthemeetingiscalled,shallbedeliverednotlessthan_________(_________)daysnormorethan_________(_________)daysbeforethedateofthemeeting,eitherpersonallyorbymail,bythedirectionofthepresident,orsecretary,ortheofficerorpersonscallingthemeeting.Ifmailed,suchnoticeshallbedeemedtobedeliveredwhendepositedintheUnitedStatesmail,addressedtothestockholderathisaddressasitappearsonthestocktransferbooksofthecorporation,withpostagethereonprepaid.ClosingofTransferBooksorFixingRecordDate.(a)Forthepurposeofdeterminingstockholdersentitledtonoticeofortovoteatanymeetingofstockholdersoranyadjournmentthereof,orstockholdersentitledtoreceivepaymentofanydividend,orinordertomakeadeterminationofstockholdersforanyotherproperpurpose,thedirectorsofthecorporationmayprovidethatthestocktransferbooksshallbeclosedforastatedperiodbutnottoexceed,inanycase_________(_________)days.Ifthestocktransferbooksbeclosedforthepurposeofdeterminingstockholdersentitledtonoticeortovoteatameetingofstockholders,suchbooksshallbeclosedforatleast_________(_________)daysimmediatelyprecedingsuchmeeting.(b)Inlieuofclosingthestocktransferbooks,thedirectorsmayprescribeadaynotmorethan_________(_________)daysbeforetheholdingofanysuchmeetingasthedayasofwhichstockholdersentitledtonoticeoftheandtovoteatsuchmeetingmustbedetermined.Onlystockholdersofrecordonthatdayareentitledtonoticeortovoteatsuchmeeting(c)Thedirectorsmayadoptaresolutionprescribingadateuponwhichthestockholdersofrecordareentitledtogivewrittenconsenttoactionsinlieuofmeeting.Thedateprescribedbythedirectorsmaynotprecedenorbemorethanten(_________)daysafterthedatetheresolutionisadoptedbydirectors.Section5.VotingList.Theofficeroragenthavingchargeofthestocktransferbooksforthesharesofthecorporationshallmake,atleast_________(_________)daysbeforeeachmeetingofstockholders,acompletelistofstockholdersentitledtovoteatsuchmeeting,oranyadjournmentthereof,arrangedinalphabeticalorder,withtheaddressofandnumberofsharesheldbyeach,whichlist,foraperiodof_________(_________)dayspriortosuchmeeting,shallbekeptonfileattheprincipalofficeofthecorporationandshallbesubjecttoinspectionbyanystockholderatanytimeduringusualbusinesshours.Suchlistshallalsobeproducedandkeptopenatthetimeandplaceofthemeetingandshallbesubjecttotheinspectionofanystockholderduringthewholetimeofthemeeting.Theoriginalstocktransferbookshallbeprimafacieevidenceastowhoarethestockholdersentitledtoexaminesuchlistortransferbooksortovoteatthemeetingofstockholders.Section6.Quorum.Atanymeetingofstockholders,amajorityoffiftypercentplusonevote,oftheoutstandingsharesofthecorporationentitledtovote,representedinpersonorbyproxy,shallconstituteaquorumatameetingofstockholders.Iflessthansaidnumberoftheoutstandingsharesarerepresentedatameeting,amajorityoftheoutstandingsharessorepresentedmayadjournthemeetingfromtimetotimewithoutfurthernotice.Atsuchadjournedmeetingatwhichaquorumshallbepresentorrepresented,anybusinessmaybetransactedwhichmighthavebeentransactedatthemeetingoriginallynotified.Thestockholderspresentatadulyorganizedmeetingmaycontinuetotransactbusinessuntiladjournment,notwithstandingthewithdrawalofenoughstockholderstoleavelessthanaquorum.Section7.Proxies.Atallmeetingsofthestockholders,astockholdermayvotebypr
