Facilities Use Agreement

FacilitiesUseAgreementThisFacilitiesUseAgreementNumber_________,(the'Agreement')ismadeandenteredintoasofthis_________,_________,_________(M/D/Y)byandbetweentheAAA(the'Government')andBBB(the'Contractor')(hereinaftercollectivelyreferredtoasthe'Parties').RECITALSWHEREAS,theGovernmentistheownerofcertainrealpropertylocatedin_________,moreparticularlydescribedinScheduleA,attachedheretoandincorporatedhereinbyreference(the'Property'):andWHEREAS,theGovernmentdesirestoprovidethePropertytotheContractor,andtheContractordesirestousethePropertyforthepurposeofperformingservicesfortheGovernmentinconnectionwiththeAmphibiousAssaultVehicle(AAV)Reliability,Maintainability,Sustainability/RebuildtoStandardprogram;andWHEREAS,providingthePropertywillfacilitatetheGovernment'sprocurementofessentialservicesandpromotethenationaldefense;andWHEREAS,providingthePropertywillsupporttheGovernment'sindustrialpreparednessprogramsandisinthepublicinterest,NOWTHEREFORE,inconsiderationofthemutualpromisesandconditionssetforthherein,theGovernmentandtheContractorherebyagreeasfollows:I.PROVISIONOFPROPERTYA.Provision.TheGovernmentherebyprovidesthePropertytotheContractorandtheContractorherebyagreestousethePropertyinaccordancewiththetermsandconditionssetforthinthisAgreement.B.UseofProperty.TheContractorisauthorizedtooccupyandusethePropertyinperformanceoftherequirementsinContractM67854-98-C-2075,whichwasawardedbytheMarineCorpsSystemsCommand(theContract),andforsuchotherusesasauthorizedbytheGovernment.C.Term,OptiontoExtend,andTermination.NotwithstandinganyprovisiontothecontraryhereinorintheFAR,thetermofthisAgreementshallbeforaperiodcommencingonthedatefirstwrittenaboveandendingon_________,_________,_________(M/D/Y).However,thepartiesheretomaybymutualwrittenagreement,extendtheuseofthePropertyunderthisAgreementbeyond_________,_________,_________(M/D/Y)topermitcompletionofthecontractorsubsequentrelatedcontracts.Furthermore,notwithstandingtheGovernment'sabsoluterighttoterminatethisAgreementatanytime,theGovernmentwill,totheextentpracticable,providetheContractorwith180daysadvancewrittennoticepriortoterminatingthisAgreement.D.Rent.AsprovidedinFAR52.245-9(a),theContractorshallhavenoobligationtopayanyrenttotheGovernmentprovidedtheContractoronlyperformsworkundertheContract.E.AnnualReview.ThePartiesagreethattheywillperiodicallyreviewthisAgreement(butnotlessthanannually)toensurethatitcontinuestomeettheirrespectiveneeds.II.SPECIALPROVISIONS.A.ReasonableAccessforContractor.TheGovernmentagreestopermittheContractorreasonableaccesstothePropertyandtoplacenounreasonableencumbranceuponthefreeuseandenjoymentofthePropertybythecontractor'spersonnel,authorizedvisitors,oranyotherindividualshavingareasonableneedtoentertheProperty.B.ProvisionofUtilitiesandSupportServices.TheGovernmentshallmakeavailabletotheContractor,onareimbursablebasis,thefollowingutilitiesandservicesinconnectionwiththeContractor'suseoftheProperty,andthePartiesheretoshallenterintoaseparateagreementconcerningtheGovernment'sprovisionofsuchutilitiesandservicesandtheContractor'spaymenttherefor.WaterElectricitySewageNaturalGasMiscellaneousMaintenanceEntomologyServicesBuildingMaintenanceRefuseCollectionEmergencyAmbulanceServiceHazardousWasteDisposalInadditiontotheforegoing,theGovernmentshallmakeavailabletotheContractor,atnocost,thefollowingservicesinconnectionwiththeContractor'suseoftheproperty:SecurityFireProtectionSafetyIntra-baseMailGuardService(Gate)C.Parking.TheGovernmentagreestoprovidetheContractorwithtenparkingspacesadjacenttothePropertyasindicatedinScheduleB.Inaddition,theGovernmentwillprovidetheContractorwithaccesstoadditionalparkingincloseproximitytotheProperty.D.Installations,Arrangements,Rearrangements,ModificationsandConstruction.TheContractormay,atitsownexpense,constructorinstallanyfixedimprovements,structuralalterationsormodifications,orinstallsuchcapitalequipmentonthePropertyasmaybenecessarytoperformitsobligationsundertheContract.Thisshallinclude,butisnotlimitedto,bringingutilitiestothePropertyandprovidingfortheseparatemeteringthereof,makingarchitectural/structural,mechanical,electrical,orotherrenovationsoralterationstotheProperty;and,makingimprovements(includingstabilizationanddrainage)toanyopenstorageareas.ThePartiesacknowledgeandunderstand,however,thatattheexpirationorearlierterminationofthisAgreement,theContractormayremoveanycapitalequipmentthatitprovidedandinstalledonthePropertytoperformitsobligationsundertheContract.However,iftheContractorremovesanysuchcapitalequipmentthentheContractoragreestorestorethatportionofthePropertyvacatedbysaidequipmenttoaconditionsuchthatthePropertymayonceagainbeusedforitsoriginalpurposeasastoragewarehouse.E.PeriodicInspections.TheGovernmentreservestherighttoperformperiodicpreventivemaintenance,fireprotectionandotherinspectionsoftheProperty.Thisshallinclude,butnotbelimitedto,theGovernment'srighttoperformenvironmentalcomplianceandexplosivesafetyinspections.F.ContractingOfficer'sRepresentative.TheContractingOfficershalldesignateinwritingaContractingOfficer'sRepresentative(he
