Map Server License Agreement

MapServerLicenseAgreementBETWEENAAACORPORATIONANDBBB,INCTHISAMENDEDANDRESTATEDAGREEMENT(this'Agreement')isenteredintoasof_________,_________,_________(M,D,Y)(the'EffectiveDate')byandbetweenAAACORPORATION,acorporationorganizedunderthelawsoftheStateof_________(PLACENAME)('AAA'),andBBB,INC.,acorporationorganizedunderthelawsoftheStateof_________(PLACENAME)('BBB'),withreferencetothefollowingfacts:A.Onorabout_________,_________,_________(M,D,Y),AAAcausedtheformationofBBBandtransferredcertainAAAassetstoBBBinreturnforcertainstockinBBB.B.ToassistBBBinitsdaytodayoperationsasanewcorporateentity,AAAandBBBenteredintoaMapServerLicenseAgreementdatedasof_________,_________,_________(M,D,Y)(the'MapServerAgreement'),pursuanttowhichAAAprovidedcertainlocalstreetmapsanddrivingdirectionsandothermappingservicestoBBB,andBBBengagedAAAtoprovidesuchservices.C.ThepartiesnowdesiretoamendandsupercedetheMapServerLicenseAgreementinitsentiretybyenteringintothisAmendedandRestatedMapServerLicenseAgreementpursuanttothetermsandconditionssetforthherein.THEREFORE,thepartiesherebyagreeasfollows:AAAConfidential1.Definitions1.1'Affiliates'shallmeananyentityinwhich,asoftheEffectiveDate,BBB,directlyorindirectly,orthroughoneormoreintermediaries,holdsthebeneficialownershipofmorethanfiftypercent(50%)oftheequitysecuritiesorinterests,andonlysolongassuchownershipcontinues.1.2'Data'shallmeanallthirdpartydatalicensedbyAAAandusedinMapsandintheseparateDataDump,asoftheEffectiveDate.1.3'DataDump'shallmeanthesetofdataincludingbutnotlimitedtoPointsofInterest,city,andregion,generallycontaininguniqueidentifierssuchastherelatedgeographiclocation,name,type,andlanguage,andusedinBBB'scatalogingsystemtoenableuserstosearchbyPointofInterestwhenperformingasearchonBBB.1.4'BBBIcon'shallmeananygraphicsortext,including,withoutlimitation,persistenthyperlinksintheformofanBBBlogoorotherrepresentationaliconcreatedbyBBBforanBBBtravelserviceorproduct.1.5'BBBDataFeed'shallmeanthedatasuppliedbyBBBtoAAAwhichcontainsthegeographiclocationforanytravelserviceofferedbyBBB,andthelocationwheretheBBBIconorotherrepresentationalicon,whichincludesanunderlyingURLtotheBBBWebSite,shouldbeplacedontheMapPoint.NetMapsusedbyBBB.1.6'BBBMaps'shallmeanthemapservicesprovidedontheBBBWebSite,locatedat(6)monthsaftertheEffectiveDate;providedAAAhasmeettherequirementsofExhibitCandthepartieshavenotmutuallyagreedtopostponesuchuse.1.10'Link'shallmean:(i)oneormorehyperlinkslocatedontheapplicableareasoftheMapPoint.NetMaps,or(iii)anyotheralternativemethodthatenablesausertoaccessBBB.LinksalsoincludeanyconnectiontoBBBthroughtheInternet,email,broadband,InternetII,wirelessandhandhelddevices,cellphones,digitalappliances,orotherdigitalinteractivemeans,networks,devices,ortransmissions(whetherexistingnoworinthefuture).1.11'Maps'shallmeancollectively,theBBBMapsandtheMapPoint.NetMaps.1.12'MapPoint.NetMaps'shallmeanareliablewebenabledmappingsolutiondevelopedbyAAAthatincludesinteractivemaps,proximitysearchinganddetaileddrivingdirections.1.13'PointofInterest'shallmeanthosecertaingeographiclocations,whichincludebutarenotlimitedto,suchplacesascampgrounds,parksandotherattractionsorplacesofinterest(e.g.theEmpireStateBuilding).1.14'ServerTechnology'shallmeanthecomputersoftwareownedbyAAAandlistedinExhibitA.1.15'Service'shallmeanthehostingofServerTechnology,MapPoint.NetMaps,specificationsandformats,andwhichincludeswithoutlimitationthetesting,implementation,hosting,maintenance,support,operationandupdateschedules,asapplicable,fortheServerTechnology,DataandMapPoint.NetMapsasprovidedbyAAAtoBBBasapartofsuchservice,whichenablesBBBtousetheMapPoint.NetMapsascontemplatedherein.2.Delivery,Operation,andUse2.1Delivery.ThepartiesacknowledgethatBBBalreadyhascopiesoftheServerTechnologyandDatainitspossessionasoftheEffectiveDate.2.2UpdatesandErrorCorrections.(a)AAA.AAAandBBBwillcooperatetotesttheinitialversionofMapPoint.NetMapsthatAAAisoperatingasoftheEffectiveDateinabetaenvironmenttoascertainifitmeetsthestabilityrequirementsoutlinedinExhibitChereto.Eachupgradetheretoshallbetestedinasimilarfashion.Thepartieswillcooperatetoensurethatthebetatestingoftheinitialversionandanyupgradetheretoisconcludedinatimelymanner.(b)MapPoint.NetMapUpdates.WhenandifAAAmakescommerciallyavailableduringthetermofthisAgreementanyupdates,upgrades,errorcorrections,orotherimprovementstotheMapPoint.NetMaps('MapPoint.NetMapUpdates'),AAAshallpromptlymakeavailablesuchMapPoint.NetMapUpdatestoBBBonservershostedbyAAAtotheextentpermittedunderapplicablelicenseagreements.UponBBB'scommencementofuse,suchMapPoint.NetUpdatesshallbeconsideredpartoftheMapPoint.NetMapsf
