CONTRACTFORPROJECTINSTALLATIONThisContractforprojectofinstallingMainEngineismadeon_________，byandbetween_________CompanyLtd.（here-inaftercalledPartyA）and_________CompanyLtd.（hereinaftercalledPartyB）.1.Nameofinstallationwork:_________.2.Locationofinstallationwork:PartyA's_________inPortA.3.Scopeofinstallationwork:Asspecifiedinthedrawingsandstatementattached.4.Timelimitforcompletion:Theinstallationworkshallcordinatewiththeconstructionof_________inPartyA，andshallbecompleted，includingthetrialrunfor_________，within_________daysafterthecompletionof_________.5.Totalpriceofinstallationwork:_________U.S.Donly.6.Paymenttermsofinstallationwork:Firstinstallment:PartyAshallpaytoPartyBfifteenpercentofthetotalpriceforinstallationwork，i.e._________U.S.Donly，whenthiscontractcomesintoeffect.Secondinstallment:PartyAshallpaytoPartyBfifteenpercentofthetotalpriceforinstalatiornwork，i.e_________U.S.D.only，atthecommencementofconstructioninstallation.Thirdinstallment:PartyAshallpaytoPartyBtenpercentofthetotalpriceforinstallationwork，i.e._________U.S.D.only，duringtheinstallationofpipes.Fourthinstallment:PartyAshallpaytoPartyBfortypercentofthetotalpriceforinstallationwork，i.e._________U.S.D.only，atthetimewhenthemainequipmentarrivesatthesite.Fifthinstallment:PartyAshallpaytoPartyBtenpercentofthetotalpriceforinstallationwork，i.e._________U.S.D.only，uponcomple-tionoftheinstallationwork.Sixthinstallment:PartyAshallpaytoPartyBtenpercentofthedifferenceofthepriceforinstallationwork，i.e._________U.S.D.only，aftertheworkreceivedhasbeenprovedqualified.7.Penaltyfordefault:IntheeventPartyBshallfailtocompletetheworkintimeowingtoreasonsthatPartyBshallbeheldliable，PartyBshallpayapenahyforsuchdefauhbasedononeoutofathousandofthetotalpriceforinstallationworkperday，i.e._________U.S.D，onlyforeachdayofsuchdefault.8.Increaseordecreaseofwork:IncasePartyAhastoamend，increaseordecreasetheworkingschedule，thecorrespondingincreaseordecreaseoftotalpriceshallbeevaluatedaccordingtothetermsandconditionsbetweenthetwoParties，Shouldtheworkbeincreased，thePartiesshallenterintoanagreementfortheunitpriceofadditionalitems.Shouldanypartofthecompletedworkofanypartofthemateri-alstransportedtothesitehavetobeabandonedowingtoamend-mentmadebyPartyA，PartyAshall，afterhavingreceivedthework，payforeachcompletedworkormaterialsabandonedaspertheunitpricespecifiedtoPartyB.9.Supervisionforprogress:ThesupervisionpersonnelappointedbyPartyAanditsrep-resentativeshallhavetheauthoritytosupervisetheprogressor'workandgiveinstruction.PartyBshallperformcorrectlyinac-cordancewithsuchinstructiongivenbyPartyA'spersonnelorrepresentative.10.Stopagework:ShouldPartyAnotifyPartyBtostoptheworkforreasonsbeyondtheresponsibilityofPartyB，PartyBcanstoptheworkandclaimfromPartyAthepriceoffinishedwork，materialsatsiteandotherreasonableexpensestobeaddedordeductedfromthepaidinstallments.11.Custodyofwork:Thecompletedworkandthematerials，tools，andequipmentatsiteshallbeunderthecustodyofPartyBaftercommencementandbeforecompletionanddeliveryofthework.UnlessintheeventofForceMajeure，PartyBshallbefullyresponsibleforanydamageoftheworkunderthecustodyofPartyB.IncaseofForceMajeure，PartyBshallgivealistofdamageaccordingtotheactualconditionandsuggestanexpectedpriceanddateforrecoveryfromsuchdamagetoPartyAforcheckingandpayment.ShouldPartyAdecidenottocontinuewiththework，thiscontractshallbeterminatedaccordingtoarticle10hereof.12.Warrantyforwork.PartyBshallwarrantthepromisedconditionoftheworkwithin_________year（s）afterthedateofreceivingtheworkbyPartyA.However，PartyBshallnotbeliabletoActsofGodormisuseoftheworkbyPartyA.13.Supplementalprovisions:PartyBshallbeheldresponsibleifPartyA'spersonnelorotherpeopleisinjuredduetothenegligenceofPartyBduringtheprogressofconstruction.However，suchresponsibilityshallrestuponPartyAiftheinjurycausedisduetothenegligenceofPartyAoftechnicianscontractedwithPartyA.14.Attachments:Attachmentsshallbecomeanintegralpartofthiscontractandshallbeaseffectiveasanyotherprovisions.Attachmentsinclude:（1）Drawings（2）Anestimateofcost.15.Formatofthiscontract:ThecontractshallbeinduplicatewithtwotextstobeheldseparatelybythePartieshereof.EachofthePartiesshallalsokeeptwocopiesofthecontractforrecord.16.AdditionalProvision:MaintenaceofMainEngine.PartyBshallprovidefreeperiodicmaintenanceservicefortheMainEngineof_________for_________year（s）afterthereceivingoftheworkbyPartyAandsendmaintenancepersonnelevery_________month（s）forperformingmaintenance.ThiscontracthasbeenexecutedbythePartiesasofthedayandyearfirstabovewritten.PartyA:_________PartyB:_________by:______________by:_____________Address:_________Address:_________Date:____________Date:____________
