TIMBERSALECONTRACT（木材销售合同英文版）ThisContractenteredintothis_______dayof________________byandbetween,withanaddressof______________hereinaftercalledtheSeller,and______________________,withanaddressof____________________hereinaftercalledthePurchaser,WITNESSETH:PAYMENTTheSelleragreestosellandthePurchaseragreestobuyforthesumof___________________Dollars($________),undertheconditionssetforthinthiscontract,allthemarkedstandingtimberuponanareaofapproximately_____acresin______________County,___________onlandownedandrecordedinthenameof_________________________.Thelocationoftheareacanfurtherbedescribedasfollows:________________ThePurchaserfurtheragreestopaytotheSellerthesumof_____________Dollars($?________)inonelump-sumpaymentdueatthetimeofexecutingthiscontract.SELLERThesellerfurtheragreestodisposeofthetimberconveyedinthiscontractinthestrictaccordancewiththefollowingconditions:Alltreestobeincludedinthissalewillbemarkedasfollows:Treesaremarkedwith________paintonceatbreastheight(4feetabovetheground)andagainatbelowstumpheight.Allsawlogandpulpwoodmaterialcontainedinthemarkedtreesisincludedinthissale.Sellermakesnoguaranteeofthevolumeoftimbercontainedinthesaleareaandisundernoobligationtoguaranteeaspecifiedvolume.NoconcurrentcontractinvolvingtheareaorperiodcoveredinthiscontracthasbeenorwillbeenteredintobythesellerwithoutthewrittenconsentofthePurchaser.ThePurchaserandhisemployeesshallhaveaccesstotheareaatallreasonabletimesandseasonsforthepurposeofcarryingoutthetermsofthiscontract.TheSellercovenantsthatheisthelawfulowneroftheabovetimberandthatnoindebtednessorencumbranceexistsagainstthesame.PURCHASERThePurchaserfurtheragreestocutandremovethetimberconveyedinthecontractinstrictaccordancewiththefollowingconditions:UnlessanextensionoftimeisagreeduponinwritingbetweentheSellerandthePurchaser,alltimbershallbecutandremovedonorbeforeandnotlatterthenthe_____dayof__________,andanymaterialnotsoremovedshallreverttotheSeller.Onlymarkedtreesshallbecut.Unmarkedtreesandyoungtimbershallbeprotectedagainstunnecessaryinjuryfromfellingandloggingoperations.ThePurchasershallclearnecessaryloggingroadsonlyaftertheirlocationshavebeendefinitelyagreeduponwiththeSellerorhisrepresentative.Duringthelifeofthiscontractandontheareacovered,careshallbeexercisedbythePurchaserandhisemployeesagainstthestartingandspreadingoffireandtheyshalltakereasonableprecautiontopreventandcontrolfires.FencedamagedordestroyedbythePurchaserintheloggingorremovaloftimberincludedinthiscontractshallberepairedorreplacedbythePurchasertotheconditionsexistingatthetimetheloggingbegins.Anyliabilityfordamage,destruction,orrestorationofprivateorpublicimprovementsoccasionedbyorintheexerciseofthiscontractshallbethesoleresponsibilityofthePurchaser.Alllitterandgarbagecreatedbytheloggersand/orloghaulersistheresponsibilityofthePurchaserandistobepickedupweekly.BestManagementPracticeswillbefollowedtoensureminimumimpactonwaterresourcesbothonsiteanddownstream.INSURANCEThePurchaserherebyagreestoprotect,indemnify,andsaveharmlesstheSellerfromanyandallliabilityforpersonalinjuries,deathand/orpropertydamagesufferedorincurredbyanypersoninconnectionwiththePurchaser'sperformanceofthiscontract.ThePurchaseralsoagreestofurnishinsuranceofthefollowingtypesGeneralLiabilityInsuranceintheamountof$_________________________,andlisting______________________asadditionalinsuredonsaidpolicy.Worker'sCompensationInsuranceforallpersonsusedintheharvestofthetimber.MISCELLANEOUSSellerandPurchasermutuallyagreeasfollows:Allmodificationsofthiscontractwillbereducedtowriting,dated,signedandwitnessed,andwillbeattachedtothiscontract.ResaleofanyportionofthestandingtimberconveyedbythiscontractwillnotreleasethePurchaserfromanyorallthetermsofthiscontractunlesstheSellersignsawrittenrelease.Incaseofdisputeoverthetermsofthiscontract,finaldecisionshallrestwithareputablepersonmutuallyagreeduponbypartiestothiscontract.Inthecaseoffurtherdisagreement,finaldecisionshallrestwithanapprovedboardofthreepersons,onetobeselectedbyeachpartytothiscontractandthethirdtobeselectedbytheothertwo.INWITNESSWHEREOF,thepartieshaveexecutedthisagreementasofthedayandyearfirstabovewritten.WITNESS:____________________Purchaser_____________________________WITNESS:?_____________________________Seller_____________________________
