CONTRACTFORPROCESSINGMessrs:_________________________________INDUSTRYLTD.(hereinaftercalledPartyA)andINDUSTRYLTD.(hereinaftercalledPartyB)haveagreedthatPartyBshallmanufactureStandardMagneticCompassesin____________withallnecessarypartsandmaterialssuppliedbyPartyAunderthefollowingtermsandconditions:1.Commodityandquantitiesforprocessingwithsuppliedmaterialsandassemblingwithsuppliedparts:(1)Commodity-StandardMagneticCompass;(2)Quantity-____________setsintotal.2.AllnecessarypartsandmaterialslistedinthecontractshalleitherbesuppliedbyPartyAorpurchasedin____________orbyPartyB;3.Theprocessingchargeforeachmodelisasfollows:(1)StandardMagneticCompassofTypeGLC-1atU.S.$____________(SAY:_________________U.S.D)each;(2)StandardMagneticCompassofTypeGLC-2atU.S.$_____________(SAY:________________U.S.D)each;(3)StandardMagneticCompassofTypeGLC-3atU.S.$____________(SAY:___________U.$.D)each.4.Themainparts,consumablesandmaterialsrequiredforprocessingwillbesentto(place)byPartyAandifthereisanyshortageordamage,PartyAshouldbeheldresponsibleforsupplyingreplacements;5.PartyAshouldpayPartyBbyL/CorT/Tcoveringthefullamountofprocessingchargesandcostsofparts,consumablesandmaterialspurchasedin__________or____________byPartyBonemonthbeforeshipmentofthefinishedproducts;6.PartyBmustcompletethemanufacturingofallStandardMagneticCompassesoftypeGLC-1andeffectshipmentwithintheagreeddatewithoutdelayexceptintheoccurrenceofuncontrollableandunforceeableevents;7.Thedamagerateofpartsandmaterials:Thedamagerateofpartsandmaterialsinprocessingis__________%andsuchadamagerateofpartsandmaterialsshallbesuppliedfreebyPartyA,shouldthedamagerateexceed_____________%,PartyBshallsupplyadditionalmaterialsandnecessaryparts;8.ShouldshipmentofmaterialsandpartssentbyPartyAbewrongorinexcess,PartyBshallreturntheexcessiveportionattheexpenseofPartyA,incaseofshortshipment,PartyAshallmakeuptheshortage;9.AllpartsandmaterialssuppliedbyPartyAforStandardMagneticCompassesshallbeprocessedbyPartyBstrictlyinaccordancewiththedesignwithoutanymodification;10.TechnicalService:PartyAagreestosendtechniciansto______________tohelptrainingPartyB,stechniciansattherequestofthelatteratanytimeandallowsthetechnicianstoremainwithPartyBforinspectionofthefinishedproducts.Insuchcase,PartyBagreestopayamonthlysalaryofU.S.$____________foreachperson,allotherexpenses(includingroundtriptickets)willbebornebyPartyA;11.AllimportandexportformalitiesinconnectionwiththiscontractshouldbehandledbyPartyB;12.AllStandardMagneticCompassesprocessedbyPartyBshallbeshippedtotheforeignbuyersappointedbyPartyAatanytime;13.Othertermsandconditions:(1)ThetrademarksofStandardMagneticCompassshallbesuppliedbyPartyA,shouldtherebeanylegaldispute,PartyAshallbeheldfullyresponsible;(2)Thequalityofpartsandmaterials,ifnecessary,purchasedin__________or_____________byPartyBforStandardMagneticCompassesmustmeasureuptostandardandbeapprovedbyPartyAbeforehand;(3)Forpromotionalpurposes,PartyBshallpreparesamplesofStandardMagneticCompassatanytimeandsendthemtoforeignBuyersappointedbyPartyA,allpartsandmaterialsrequiredwouldbesuppliedoutofthestocksuppliedbyPartyA;14.Thiscontractshallbemadeintriplicate,PartyAandPartyBshall,bothsigningallcopies,retainonecopyandsubmitonetoauthoritiesconcernedin(place)forregistration.INDUSTRYLTD.INDUSTRYLTD.____________________ManagerManager
