TRADEMARK LICENSING AGREEMENT

TRADEMARKLICENSINGAGREEMENTAgreementmadethis______dayof____________,between___________(hereinaftercalled'Licensor'),and________(hereinaftercalled'Licensee'):WITNESSETHWhereasLicensorownscertainvaluableregisteredtrademarksandservicemarks,andownsandhasmerchandisingrightstovariousotherLicensorpropertiesasdefinedinparagraph1oftheRiderattachedheretoandherebymadeaparthereof(hereinaftercalled'Name'),saidNamehavingbeenusedoverthefacilitiesofnumerousstationsinradioand/ortelevisionbroadcastinginalliedfields,andinpromotionalandadvertisingmaterialindifferentbusinessesandbeingwellKnownandrecognizedbythegeneralpublicandassociatedinthepublicmindwithLicensor,andWhereasLicenseedesirestoutilizetheNameuponandinconnectionwiththemanufacture,saleanddistributionofarticleshereinafterdescribed,Now,Therefore,inconsiderationofthemutualpromiseshereincontained,itisherebyagreed:1.GrantofLicense(a)ArticlesUponthetermsandconditionshereinaftersetforth,LicensorherebygrantstoLicenseeasarelatedcompany,andLicenseeherebyacceptstheright,licenseandprivilegeofutilizingtheNamesolelyandonlyuponandinconnectionwiththemanufacture,saleanddistributionofthefollowingarticles.(insertdescription)(b)TerritoryThelicenseherebygrantedextendsonlyto________________.Licenseeagreesthatitwillnotmake,orauthorize,anyuse,directorindirect,oftheNameinanyotherarea,andthatitwillnotknowinglysellarticlescoveredbythisagreementtopersonswhointendorarelikelytoreselltheminanyotherarea.(c)TermThetermofthelicenseherebygrantedshallbeeffectiveonthe_______dayof____________andshallcontinueuntilthe_______dayof__________,unlesssoonerterminatedinaccordancewiththeprovisionshereof.Thetermofthislicensemaybeautomaticallyrenewedfromyeartoyearuponallthetermsandconditionscontainedherein,withthefinalrenewaltoexpireonDecember31st,____________.Attheendofeachterm,beginningwithDecember31st,________________,thislicenseshallbeautomaticallyrenewedforaoneyeartermexpiringDecember31stofthefollowingyear,unlesseitherpartyheretoshallbegivenwrittennoticetothecontraryatleastthirty(30)dayspriortotheexpirationdate.2.TermsofPayment(a)RateLicenseeagreestopaytoLicensorasroyaltyasumequalto__________percentofallnetsalesbyLicenseeoranyofitsaffiliated,associatedorsubsidiarycompaniesofthearticlescoveredbythisagreement.Theterm'netsales'shallmeangrosssaleslessquantitydiscountsandreturns,butnodeductionshallbemadeforcashorotherdiscountsoruncollectibleaccounts.Nocostsincurredinthemanufacture,sale,distributionorexploitationofthearticlesshallbedeductedfromanyroyaltypayablebyLicensee.LicenseeagreesthatintheeventitshouldpayanyotherLicensorahigherroyaltyorlicensingrateorcommissionthanthatprovidedhereinfortheuseoftheName,thansaidhigherrateshallautomaticallyandimmediatelyapplytothiscontract.(b)MinimumRoyaltiesLicenseeagreestopaytoLicensoraminimumroyaltyof___________Dollars($______)asaminimumguaranteeagainstroyaltiestobepaidtoLicensorduringthefirstcontractterm,saidminimumroyaltytobepaidonorbeforethelastdayoftheinitialtermhereof.Theadvancesumof______________dollars($__________)paidonthesigninghereofshallbeappliedagainstsuchguarantee.NopartofsuchminimumroyaltyshallinanyeventberepayabletoLicensee.(c)PeriodicStatementsWithin_________daysaftertheinitialshipmentofthearticlescoveredbythisagreement,andpromptlyonthe_________________ofeachcalendar__________thereafter,LicenseeshallfurnishtoLicensorcompleteandaccuratestatementscertifiedtobeaccuratebyLicenseeshowingthenumber,descriptionandgrosssalesprice,itemizeddeductionsfromgrosssalespriceandnetsalespriceofthearticlescoveredbythisagreementdistributedand/orsoldbyLicenseeduringtheprecedingcalendar____________,togetherwithanyreturnsmadeduringtheprecedingcalendar___________Forthispurpose,Licenseeshallusethestatementformattachedhereto,copiesofwhichformmaybeobtainedbyLicenseefromLicensor.SuchstatementsshallbefurnishedtoLicensorwhetherornotanyofthearticleshavebeensoldduringtheprecedingcalendar____________.(d)RoyaltypaymentsRoyaltiesinexcessoftheaforementionedminimumroyaltyshallbedueonthe___________dayofthe____________followingthecalendar_____________inwhichearned,andpaymentshallaccompanythestatementsfurnishedasrequiredabove.ThereceiptoracceptancebyLicensorofanyofthestatementsfurnishedpursuanttothisagreementorofanyroyaltiespaidhereunder(orthecashingofanyroyaltycheckspaidhereunder)shallnotprecludeLicensorfromquestioningthecorrectnessthereofatanytime,andintheeventthatanyinconsistenciesormistakesarediscoveredinsuchstatementsorpayments,theyshallimmediatelyberectifiedandtheappropriatepaymentmadebyLicensee.Paymentshallbein_______________.DomestictaxespayableinthelicensedterritoryshallbepayablebyLicensee.3.Exclusivity(a)NothinginthisagreementshallbeconstruedtopreventLicensorfromgrantinganyotherlicensesfortheuseoftheNameorfromutilizingtheNameinanymannerwhatsoever,exceptthatLicensoragreesthatexceptasprovidedhereinitwillgrantnootherlicensesfortheterritorytowhichthislicenseextendseffectiveduringthetermofthisagreement,fortheuseoftheNameinconnectionwiththesaleofthearticlesdescribedinparagraph1.(b)ItisagreedthatifLic
