LOANCONTRACTContractNumber：_____________________BORROWER：____________________________Address：_____________________________LENDER：_____________________________Address：_____________________________InaccordancewithprovisionsofContractLawofthePeoplesRepublicofChinaandBankofChina，afterreviewingthestatusandtherequestoftheBorrower，theLenderagreestogranttheBorroweralineofcrediton.TheBorrower，LenderandGuarantor，throughfriendlynegotiation，haveexecutedthisContractasfollows：ARTICLE1CURRENCY，AMOUNTANDTERMOFTHELOAN：1.TheCurrencyunderthisloanisReiminbi.2.TheLineoftheloanisyuan.3.Theperiodofthisloanis12monthsfromthedateofeffectivenessofthiscontract.ARTICLE2THEPURPOSEOFTHELOAN：1.Thepurposeofthisloanisusedforworkingcapitalturnover.2.WithoutwrittenapprovaloftheLender，theBorrowercouldnotusetheloanoutofthescopeofthepurpose.ARTICLE3INTERESTRATEANDCALCULATIONOFINTEREST：1.Interestrate：Theinterestrateshallbe______Duringtheloanterm，ifthecountrysrelatedauthorityadjustedtheinterestrateorthemannerofcalculationofinterest，theinterestofthiscontractshallbeadjustedaccordinglyafteroneyearfromthedateofexecutionofthiscontract.Theadjustmentshallbeconductedwhentheinterestrateareexecutedoneyear.ItisnotobligedtoinformtheBorrowerwhentheadjustmentofinterest.2.Theinterestshallbecalculatedfromthedateoffirstdrawdownandtheactualdaystheborroweruse.Oneyearshallbecalculatedas360days.3.Thepaymentofinterests：TheBorrowershallpaytheinterestsperquarter.Thepaymentdateshallbe，and.Ifthepaymentforthelastinstallmentisnotonthepaymentdate，theinterestsshalldeducttheinterestfromthebankaccountoftheBorrower.IntheeventthattheBorrowerfailstopaytheinterestsontimeandthebalanceoftheaccountoftheBorrowerisnotenoughforthepaymentofinterest，theLendershallhaverightstocollectapenaltybeing________oftheoutstandingamountperdayfortheBorrowersbreachofcontract.ARTICLE4OVERDUEINTERESTSANDMISUSINGINTERESTS1.IftheBorrowerfailstorepaytheloanandcannotreachaagreementwiththeLenderregardingtheextension，theLendershallcollectanoverduepenaltyfor_________oftheoverdueamountperday.2.IftheBorrowerfailstousestheloaninaccordancewiththeprovisionssetforthinthiscontract，theLendershallhaverighttochargeainterestsforthemisusingpartatarateof____________perday.ARTICLE5ACCOUNTTheBorrowershallopenReiminbibasicaccountand/orforeigncurrencyaccountattheLenderorLendersbranchfortheuseofdraw-down，repayment，paymentofinterestsandfees.ARTICLE6DRAW-DOWN1.Theloanunderthiscontractisrevolving，thebalanceofthiscontractshallnotmorethanthelineofcredit.2.TheBorrowershallsendadraw-downapplicationastheformhereinattachedinthiscontract7daysbeforethedateofdraw-down.3.TheBorrowershallnotdrawtheloanlessthan1million.ARTICLE7CONDITIONSFORDRAW-DOWNThefollowingconditionsshallbesatisfiedinadvanceofthedraw-downdate：1.TheBorrowerhasopenedforeignaccountandReiminbiaccountattheofficeoftheLenderorthebranchoftheLender；2.Thiscontractandtheappendiceshavebeeneffective；3.TheBorrowerhasprovidedtherecognitionoftheinvestmentorcertificateoftheinvestmenttotheLender；4.TheBorrowerhasprovidedtheboardresolutionandpowerofattorneyregardingthisloancontract；5.TheBorrowerhasprovidedthelistandthesignaturesampleoftheauthorizedpersonwhoempowertosignthiscontractanddocuments；6.TheGuarantyunderthiscontracthasbeeneffective；7.TheBorrowerhasbeensatisfiedthewarrantsunderArticle11ofthiscontract；8.Theotherrequirementforthedraw-downhavebeensatisfied.ARTICLE8REPAYMENTPLANANDPREPAYMENT1.TheBorrowershallrepaytheloaninaccordancewiththestatusofitscash.TheBorrowershallinformtheLenderthepaymentamountanddate______priortomakethepayment.TheBorrowershallbeobligedtorepaytheprincipalandrelatedinterestsonduedatewithoutanycondition.2.ThepaymentmadebytheBorrowerandthedeductionfromtheaccountoftheBorrowershallbeusedforrepayingtheinterestatfirstandthenforrepayingtheprincipal.3.IntheeventtheBorrowerfailstorepaytheloan，theLendershallhaverightstodeductthedebtfromthebankaccountoftheBorrowerattheLenderorempowerthebranchesoftheLendertodeductthedebtfromthebankaccountoftheBorrowerattheLendersbranches；4.Theinstallmentofrepaymentshallnotlessthan1million.ARTICLE9DEBTCERTIFICATETheLendershallkeeprecordintheLendersaccountfortheprincipal，interestsandfeesandotherfeesoftheBorrowerunderthiscontract；Theabovementionedrecordandthedocumentationforthedraw-down，repaymentandpaymentofinterestisthecertificatesofthedebtsbetweentheBorrowerandtheLender.ARTICLE10GUARANTY1.（the'Guarantor'）shallbetheguarantorfortheloanunderthiscontractandtakejointlyliabilities.2.Duringthetermofthiscontract，iftheguarantorsfinancialstatusbecomedeterioratedortheliabilitiesforrepaymentofdebtsbecomeweak，theLendershallhaverighttorequesttheBorrowerchangesguarantororprovidemortgageandpawnsecuredforthisloanunderthiscontract.ARTICLE11REPRESENTATIONSANDWARRANTIESI.TheBorrowersrepresentsandwarrantsasfollows：1.TheBorrowerisacompanydulyorganizedandvalidlyexistingunderthelawofthePeoplesRepublicofChinaandhasthepowerandauthoritytoownitspropertytoconsummatethetransactionscontemplatedinthiscontractandjointhelitigation.TheBorrowerhasthepowertohandleitassetsusedinoperati
