房屋买卖合同(英文版)PropertySaleandPurchaseContract(房屋买卖合同)ThisSaleandPurchaseContract(the“SaleContract”orthis“Contract”)isenteredintothis____dayofMay,2006:BYANDBETWEENTheSeller:LegalRepresentative:WangXialinAddress:Tel:Buyer:PassportNo.:Address:Tel:EachofSellerandBuyerisindividuallyreferredtohereinasa“Party”andcollectivelyreferredtohereinasthe“Parties”。RECITALSWHEREAS,Selleristheownerofthepropertyof14D,Building3,ParkViewTower;SellerdesirestoselltoBuyer,andBuyerdesirestoacquirefromSeller,theentireownershipofthepropertyanditsassociatedgrantedlanduseright(the“Property”,asdefinedmorespecificallyinArticle2ofthisSaleContract);NOW,THEREFORE,afterfriendlynegotiationsandinconsiderationofthePropertyandthemutualcovenantscontainedherein,thePartiesherebyagreeasfollows:ArticleIRepresentations,WarrantiesandCovenants1.1SellerherebyrepresentsandwarrantsthatSelleristhedulyregisteredownerofthePropertyandpossessesthecompletebeneficiaryownershiprightstotheProperty.ThePropertyisfreefromanyencumbrance,includingbutnotlimitedtomortgagesandanyotherthirdparty‘sinterestand/orotherdebtdisputes.1.2SellershalltransferthePropertyanditstitledeedstoBuyerinaccordancewiththetermsofthisContract.ArticleIITheProperty1.1ThePropertyislocatedat___________________________________,Beijing.ThePropertyOwnershipCertificateNo.:__________________,theGrossFloorAreaofthePropertyis______________squaremeters.TheLandUseRightCertificateNo.:________________,theLandUseRightAreais__________squaremeterswithanexpirationdateof___________.ArticleIIIPurchasePriceSelleragreestoselltoBuyer,andBuyeragreestopurchasefromSellerthePropertyatanaggregatepriceofRMB______________(“PurchasePrice”)ArticleIVPaymentMethodandTitleTransferProcedure1.1AnypaymentofthePurchasePriceunderthisContractshallbemadeinRMBbyBuyerinaccordancewiththisContract.AnybankfeesorchargesincurredduetothepaymentshouldbebornebyBuyer;anybankfeesorchargesincurredduetothereceiptofthepaymentimposedbytheSeller‘sBankshouldbebornebySeller.Seller’sdesignatedBankAccountisdescribedbelow:Bankname:Accountname:AccountNo:2040099781.2BothSellerandBuyerappointandfullyauthorizeXXXXLawFirm(the“Lawyer”)toapplyforthetransferofthetitledeedsofthePropertyandpayrelevanttaxesandfeesandtotakeanyotheractionandsignanydocumentnecessarytocompletetheabovetransferspromptly.1.3Withinthree(3)workingdaysaftertheexecutionofthisContract,BuyershallpaytoSeller,asanadvancepayment,fiftypercent(50%)ofthePurchasePrice,i.e.RMB____________(the“AdvancePayment”)1.4Buyershallpay,astheremainingpayment,theotherfiftypercent(50%)ofthePurchasePrice,i.e.RMB___________(the“RemainingPayment”),byapplyingforthesecondhandpropertymortgageloanfromtheBank(the“Bank”)TheBanksoulddirectlypayallmortgageloantoSeller‘sbankaccountasdescribedabove.1.4.1Withinten(10)workingdaysaftertheexecutionofthisContract,BuyershallsignthemortgageloanagreementandotherrelevantdocumentswiththeBank,andgetapprovalfromthebankwithrespecttothemortgageloanapplicationfortheRemainingPayment.Buyershallhandoverthephotocopiesoftheabove-mentioneddocumentstotheLawyer.1.4.2Withinten(10)workingdaysaftertheexecutionofthisContract,bothPartiesandtheBankshallsignatri-partyagreement(the“Tri-partyAgreement”)inwhichtheBankagreestoreleasetheloan(equivalenttotheRemainingPayment)toSeller‘saccountdirectly.BuyershallhandoverthephotocopyoftheTri-partyAgreementtotheLawyer.1.4.3AfterSellerconfirmsthereceiptoftheAdvancePayment,anduponreceiptbytheLawyerofallofthedocumentsandtaxesandfeesfrombothPartiesasdescribedinArticle6andArticle7ofthisContract,andwithinthree(3)workingdaysafterthedocumentsmentionedinArticle4.4aboveareprovidedtotheLawyer,Lawyershallsubmitthetransferapplication(withallnecessarysupportingdocuments)ofthePropertyOwnershipCertificatetoBeijingConstructionCommitteeRealEstateExchangeCenter(the“Center”)Withinthree(3)workingdaysafterthetransferofthePropertyOwnershipCertificateiscompleted,Lawyershallsubmitthetransferapplication(withallnecessarysupportingdocuments)oftheLandUseRightCertificatetoBeijingLand&ResourceBureau.1.4.4AfterthePropertyOwnershipCertificateandtheLandUseRightCertificatearetransferredtoBuyer,andafterLawyerreceivesalltheoriginalcertificates,LawyershallprovidetotheBankwiththesecertificatesinaccordancewiththetermsoftheTri-partyAgreement.Thebank,whowillapplyforthemortgageregistrationoftheProperty,shallreleasetheloan(RemainingPayment)directlytoSelleroncethemortgageregistrationiscompleted.1.4.5IncasethattheBankhasnotapprovedthedrawdownoftheloanortheloanpaidtoSellerislessthantheRemainingPaymentwithintwo(2)monthsafterLawyerprovidesthePropertyOwnershipCertificateandtheLandUseRightCertificatetotheBank,BuyeragreestomakefullpaymentoftheRemainingPaymentwithinfive(5)workingdaysaftertheabove-mentionedtwo(2)monthsperiodexpires.ArticleVTaxesandfeesExceptasotherwiseprovidedtherein,eachPartyshallberesponsibleforandshallpayalltaxesandfeesresultingfromorpayableinconnectionwiththetransactionscontemplatedinthisContractasareimposeduponsuchPartybyPRCLaw.
