LAIBINBWorksConditionsofContract-RevisionJPage113:22CWC___J.DOCDEFINATIONSANDINTERPRETATIONCLAUSE11.1.DefinitionsIntheCivilWorksContract(ashereinafterdefined)thefollowingwordsandexpressionsshallhavethemeaningsherebyassignedtothem,exceptwherethecontextotherwiserequires:(a)“Employer”meansAlsthomExport/Cofivaandthelegalsuccessorsintitletosuchperson,butnot(exceptwiththeconsentoftheContractor)anyassigneeofsuchperson.“Contractor”meansSAEI/SBCJointOrganization,whereSAEIandSBCarejointlyandseverallyliabletowardstheEmployer,andthelegalsuccessorsintitletosuchperson,butnot(exceptwiththeconsentoftheEmployer)anyassigneeofsuchperson.“Subcontractor”meansanypersonnamedintheCivilWorksContractasasubcontractorforapartoftheWorksoranypersontowhomapartoftheWorkshasbeensubcontractedwiththeconsentoftheEmployerandthelegalsuccessorsintitletosuchperson,butnotanyassigneeofanysuchperson.“Employer’sRepresentative”meansapersonappointedfromtimetotimebytheEmployerunderSub-Clause2.2.(b)“Appendix”meansoneoftheappendicesattachedandformingpartoftheCivilWorksContract“billofquantities”meansthepricedandcompletedbillofquantitiesincludedinAppendix8(“ContractPriceBreakdown”).“CivilWorksContract”meansthedocumentslistedinSub-Clause5.2.“CivilWorksContractMasterSchedule”referstotheprogrammeoftheWorksprovidedinAppendix5hereto.“CommencementDate”meansthedateuponwhichtheContractorreceivestheNoticetoCommenceissuedbytheEmployerpursuanttoClause41.“ConditionsofContract”meansthepresentconditionsofcontract.“ContractAgreement”meansthecontractagreementdated18September1997,referredtohereabove.“ContractPrice”meansthesumasdefinedinClause71oftheConditionsoftheContractaspayabletotheContractorfortheexecutionandcompletionoftheWorksandtheremedyingofanydefectsthereininaccordancewiththeprovisionsoftheCivilWorksContract.“Contractor’sEquipment”meansallappliancesandthingsofwhatsoevernature(otherthanTemporaryWorks)requiredfortheexecutionandcompletionoftheWorksandtheremedyingofanydefectstherein,butdoesnotincludePlant,materialsorotherthingsintendedtoformorformingpartofthePermanentWorks“ConstructionServicesContract”meansthecontractsignedbetweentheOwnerandtheEmployerforalltheservicesrelatedtotheLaibinBProjecttoberenderedinChina.“cost”meansallexpenditureproperlyincurredortobeincurred,whetheronorofftheSite,LAIBINBWorksConditionsofContract-RevisionJPage213:22CWC___J.DOCincludingoverheadandotherchargesproperlyallocabletheretobutdoesnotincludeanyallowanceforprofit.“Day”meanscalendarday.“DefectsLiabilityPeriod”referstothe18monthperioddefinedinSub-Clause49.1.“Drawings”meansalldrawings,calculationsandtechnicalinformationofalikenatureprovidedbytheEmployertotheContractorundertheCivilWorksContractandalldrawings,calculations,samples,patterns,models,operationandmaintenancemanualsandothertechnicalinformationofalikenaturesubmittedbytheContractorandapprovedbytheEmployer.“Electro-mechanicalActivity”meansanyactivitytobeperformedfortheconstructionofthePowerPlantwithoutbeingincludedintheWorks.“ForeignCurrency”meansacurrencyofacountryotherthaninwhichtheWorksaretobelocated.“Item”shallmeananelementofthedetailedbreakdownoftheWorks(e.g.:concreteforwalls),asdefinedintheJobRatingSpecifications.“JobRatingSpecifications”meansthepartofAppendix2(TechnicalSpecification),whichdescribesthenatureofitemsandthecorrespondingassessmentofquantity.“KeyEvent”meansSubstantialCompletionofapartoftheWorksthatisnecessaryforthecommencementofElectro-mechanicalActivity(ies)criticaltotheProject.“Leaders”meansCreditAgricoleIndosuezand/orindependentfinancialinstitutionswithwhomtheOwnerarrangesfundingfortheLaibinBProject.“LetterofAgricoleIndosuezand/orindependentfinancialinstitutionswithwhomtheOwnerarrangesfundingfortheLaibinBProject.“LetterofAcceptance”meanstheformalacceptancebytheEmployeroftheTender.“MajorKeyEvent”referstothemostcriticalKeyEventsasdefinedinSub-clause43.2.“NoticetoCommence”referstothenoticeissuedbytheEmployertotheContractoraspertheprovisionsofSub-Clause41.1.“PermanentWorks”meansthepermanentworkstobeexecuted(includingPlant)inaccordancewiththeCivilWorksContract.“Plant”meansmachinery,apparatusandthelikeintendedtoformorformingpartofthePermanentWorks.“ProgressCertificate”meansthemonthlycertificatecertifiedbytheEmployerstatingthepercentageoftheprogressonSite,tobeissuednotlaterthanthe15thofthefollowingmonth.“Section”meansapartoftheWorkscorrespondingtoaKeyEventspecificallyidentifiedintheCivilWorksContract.“Site”meanstheplacesprovidedbytheEmployerwheretheWorksaretobeexecutedandanyotherplacesasmaybespecificallydesignedintheCivilWorksContractasformingpartoftheSite.“SubstantialCompletion”meanscompletionoftheWorksorSectionthereoftotheextentthatitdoesnotimpedeElectro-mechanicalActivitiesrequiredforthepreliminarytakingoverofthePowerPlant.“SubstantialCompletionCertificate”meansacertificateissuedbytheEmployerasspecifiedundertheprovisionsofClause48.“Taking-OverCertificate”meansacertificateissuedpursuanttoClause48.“TemporaryWorks”meansalltemporaryworksofeverykind(otherthanContractor’sEquipment)LAIBINBWorksConditionsofContract-RevisionJPa
