GENERALSERVICEAGREEMENTTHISGENERALSERVICEAGREEMENT(theAgreement)datedthis_______________dayof________,________BETWEEN:XXXof(theClient)-AND-XXXof(theContractor).BACKGROUND:A.TheClientisoftheopinionthattheContractorhasthenecessaryqualifications,experienceandabilitiestoprovideservicestotheClient.B.TheContractorisagreeabletoprovidingsuchservicestotheClientonthetermsandconditionssetoutinthisAgreement.INCONSIDERATIONOFthemattersdescribedaboveandofthemutualbenefitsandobligationssetforthinthisAgreement,thereceiptandsufficiencyofwhichconsiderationisherebyacknowledged,theClientandtheContractor(individuallythePartyandcollectivelythePartiestothisAgreement)agreeasfollows:ServicesProvided1.TheClientherebyagreestoengagetheContractortoprovidetheClientwithservices(theServices)consistingof:Providepaymentservices.2.TheServiceswillalsoincludeanyothertaskswhichthePartiesmayagreeon.TheContractorherebyagreestoprovidesuchServicestotheClient.TermofAgreement3.ThetermofthisAgreement(theTerm)willbeginonthedateofthisAgreementandwillremaininfullforceandeffectindefinitelyuntilterminatedasprovidedinthisAgreement.4.IntheeventthateitherPartywishestoterminatethisAgreement,thatPartywillberequiredtoprovide30dayswrittennoticetotheotherParty.5.ThisAgreementmaybeterminatedatanytimebymutualagreementoftheParties.6.ExceptasotherwiseprovidedinthisAgreement,theobligationsoftheContractorwillendupontheterminationofthisAgreement.Performance7.ThePartiesagreetodoeverythingnecessarytoensurethatthetermsofthisAgreementtakeeffect.Currency8.ExceptasotherwiseprovidedinthisAgreement,allmonetaryamountsreferredtointhisAgreementareinUSD(USDollars).Compensation9.FortheservicesrenderedbytheContractorasrequiredbythisAgreement,theClientwillprovidecompensation(theCompensation)totheContractorasfollows:AccordingtoinvoicestheContractorsendsonatimelybasis.10.InvoicessubmittedbytheContractortotheClientareduewithin15daysofreceipt.ReimbursementofExpenses11.TheContractorwillnotbereimbursedforanyexpensesincurredinconnectionwithprovidingtheServicesofthisAgreement.PenaltiesforLatePayment12.Anylatepaymentswilltriggerafeeof1.00%permonthontheamountstillowing.Confidentiality13.Confidentialinformation(theConfidentialInformation)referstoanydataorinformationrelatingtothebusinessoftheClientwhichwouldreasonablybeconsideredtobeproprietarytotheClientincluding,butnotlimitedto,accountingrecords,businessprocesses,andclientrecordsandthatisnotgenerallyknownintheindustryoftheClientandwherethereleaseofthatConfidentialInformationcouldreasonablybeexpectedtocauseharmtotheClient.14.TheContractoragreesthattheywillnotdisclose,divulge,reveal,reportoruse,foranypurpose,anyConfidentialInformationwhichtheContractorhasobtained,exceptasauthorizedbytheClientorasrequiredbylaw.TheobligationsofconfidentialitywillapplyduringthetermofthisAgreementandwillsurviveindefinitelyuponterminationofthisAgreement.15.AllwrittenandoralinformationandmaterialdisclosedorprovidedbytheClienttotheContractorunderthisAgreementisConfidentialInformationregardlessofwhetheritwasprovidedbeforeorafterthedateofthisAgreementorhowitwasprovidedtotheContractor.OwnershipofIntellectualProperty16.Allintellectualpropertyandrelatedmaterial(theIntellectualProperty)thatisdevelopedorproducedunderthisAgreement,willbethepropertyoftheContractor.TheClientisgrantedanon-exclusivelimited-uselicenseofthisIntellectualProperty.17.Title,copyright,intellectualpropertyrightsanddistributionrightsoftheIntellectualPropertyremainexclusivelywiththeContractor.ReturnofProperty18.UpontheexpiryorterminationofthisAgreement,theContractorwillreturntotheClientanyproperty,documentation,records,orConfidentialInformationwhichisthepropertyoftheClient.Capacity/IndependentContractor19.InprovidingtheServicesunderthisAgreementitisexpresslyagreedthattheContractorisactingasanindependentcontractorandnotasanemployee.TheContractorandtheClientacknowledgethatthisAgreementdoesnotcreateapartnershiporjointventurebetweenthem,andisexclusivelyacontractforservice.Notice20.Allnotices,requests,demandsorothercommunicationsrequiredorpermittedbythetermsofthisAgreementwillbegiveninwritinganddeliveredtothePartiesofthisAgreementasfollows:a.XXXb.XXXortosuchotheraddressasanyPartymayfromtimetotimenotifytheother.Indemnification21.Excepttotheextentpaidinsettlementfromanyapplicableinsurancepolicies,andtotheextentpermittedbyapplicablelaw,eachPartyagreestoindemnifyandholdharmlesstheotherParty,anditsrespectivedirectors,stockholders,affiliates,officers,agents,employees,andpermittedsuccessorsandassignsagainstanyandallclaims,losses,damages,liabilities,penalties,punitivedamages,expenses,reasonablelegalfeesandcostsofanykindoramountwhatsoever,whichresultfromorariseoutofanyactoromissionoftheindemnifyingparty,itsrespectivedirectors,stockholders,affiliates,officers,agents,employees,andpermittedsuccessorsandassignsthatoccursinconnectionwiththisAgreement.ThisindemnificationwillsurvivetheterminationofthisAgreement.DisputeResolution22.IntheeventadisputearisesoutoforinconnectionwiththisAgreement,thePartieswillattempttoresolvethedisput
